I. RECHTLICHE VERHÄLTNISSE



1. Handelsregister und Gesellschaftsvertrag

Die Gesellschaft wurde am 21. Oktober 2009 gegründet und im Handelsregister beim Amtsgericht Frankfurt am Main am 28. Oktober 2009 unter der Nummer HRB 86619 eingetragen.

Gegenstand des Unternehmens ist die Erbringung von Beratungsleistungen für Unternehmen und Unternehmungen, bei Unternehmenstransaktionen, Beratung bei Kapitalbeschaffungs- bzw. bei Investitions- oder Desinvestitionsmaßnehmen sowie Erwerb, Halten und das Verwalten von Beteiligungen an Unternehmen und die Erbringung damit verbundener Beratungsleistungen.

Sitz der Gesellschaft ist Frankfurt am Main.

Geschäftsjahr ist das Kalenderjahr.



2. Gezeichnetes Kapital

Das Stammkapital der Gesellschaftbeträgt € 25.000,00 und ist in voller Höhe eingezahlt.

3. Geschäftsführung

Alleiniger Gesellschafter-Geschäftsführer ist Dr. Lorenzo Gatti, Dipl.-Ingenieur, Frankfurt am Main; er ist von den Beschränkungen des § 181 BGB befreit.

4. Gesellschafterversammlung

In der Gesellschafterversammlung vom 3. November 2011 ist der Jahresabschluss zum
31. Dezember 2010 festgestellt, genehmigt und der Geschäftsführung Entlastung erteilt worden.

II. BILANZIERUNGS- UND BEWERTUNGSGRUNDSÄTZE

1. Allgemeine Angaben

Der Jahresabschluss für das Geschäftsjahr 2011 wurde nach den Vorschriften des Handelsgesetzbuches sowie des GmbH-Gesetzes aufgestellt.

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB.

2. Anlagevermögen

Vermögensgegenstände des Sachanlagevermögens wurden zu Anschaffungskosten abzüglich planmäßiger linearer Abschreibungen bewertet. Abschreibungen erfolgen entsprechend der betriebsgewöhnlichen Nutzungsdauer.

Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von € 410,-- wurden im Jahre des Zugangs voll abgeschrieben.

3. Forderungen, sonstige Vermögensgegenstände und Guthaben bei Kreditinstituten

Forderungen und sonstige Vermögensgegenstände sind zum Nennwert angesetzt und besitzen alle eine Restlaufzeit bis zu einem Jahr. Guthaben bei Kreditinstituten sind zum Nominalwert angesetzt. Jegliche Forderungen lauten auf Euro.

4. Rückstellungen

Die Steuerrückstellungen beinhalten die das Geschäftsjahr betreffenden, noch nicht veranlagten Steuern. Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

5. Verbindlichkeiten

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt, lauten auf Euro und besitzen alle eine Restlaufzeit bis zu einem Jahr.

III. SONSTIGE ANGABEN

1. Haftungsverhältnisse und sonstige finanzielle Verpflichtungen

Am 31. Dezember 2011 bestanden keine Haftungsverhältnisse gemäß § 251 HGB oder sonstige finanzielle Verpflichtungen, die nicht aus dem Jahresabschluss ersichtlich sind.

2. Mitarbeiter

Im Geschäftsjahr 2011 beschäftigte die Gesellschaft den Geschäftsführer sowie bis einschließlich April 2011 eine Aushilfe.
