Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss zum 31.12.2011 der Data Meets Mail GmbH wurde auf der Grundlage der handelsrechtlichen Rechnungslegungsvorschriften, der ergänzenden Vorschriften des Gesetzes betreffend die Gesellschaften mit beschränkter Haftung (GmbHG) und unter Beachtung der Bestimmungen des Gesellschaftsvertrages erstellt. Die Gesellschaft ist eine "Kleine Kapitalgesellschaft" im Sinne des § 267 Abs. 1 HGB.

Die Gliederung der Bilanz erfolgte gemäß § 266 Abs. 2 und 3 HGB.

Die Gewinn- und Verlustrechnung ist gemäß § 275 Abs. 3 HGB nach dem Umsatzkostenverfahren gegliedert.

Bilanzierungs- und Bewertungsmethoden

Forderungen und sonstige Vermögensgegenstände sowie flüssige Mittel wurden zu Nennwerten bilanziert.

Das gezeichnete Kapital wurde mit dem Nennwert angesetzt.

In den Rückstellungen wurden alle erkennbaren Risiken und ungewissen Verbindlichkeiten berücksichtigt. Die Bewertung erfolgte in Höhe des Betrages, der nach vernünftiger kaufmännischer Beurteilung notwendig war.

Erläuterungen zur Bilanz

Die Gesellschaft weist bei einem gezeichneten Kapital von EUR 25.000,00 und einer Kapitalrücklage von EUR 2.945,86 einen nicht durch Eigenkapital gedeckten Fehlbetrag in Höhe von EUR 3.361,03 aus. Zur Beseitigung der rechtlichen Folgen der Überschuldung hat der Gesellschafter - Joachim Naujoks - der Gesellschaft eine Erklärung abgegeben, wonach er sich verpflichtet hat, der Gesellschaft jederzeit finanzielle Mittel zur Verfügung zu stellen, solange drohende Zahlungsunfähigkeit bzw. Überschuldung fortdauern. Gleichzeitig hat H. Naujoks bezüglich seiner daraus resultierenden Forderungen gegen die Gesellschaft den Rangrücktritt erklärt.

Rückstellungen

Die sonstigen Rückstellungen wurden aus zu erwartende Rechnungen gebildet. Weitere Rückstellungen waren nicht zu bilden.
