Anhang

I. ALLGEMEINE ANGABEN

Der vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und §§ 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG und des Gesellschaftsvertrags aufgestellt.

Für den Jahresabschluss unserer Gesellschaft finden die Rechnungslegungsvorschriften des HGB für kleine Kapitalgesellschaften Anwendung.

Insgesamt sind keine Änderungen der Bilanzierungs- und Bewertungsmethoden gegenüber denen des Vorjahres zu verzeichnen.

Die Angabe-, Begründungs- und Erläuterungspflichten zum Jahresabschluss sind ausreichend erfüllt, so dass sich ein zutreffendes Bild der Vermögens-, Finanz- und Ertragslage ergibt.

II. BILANZIERUNGS- UND BEWERTUNGSMETHODEN

Die Bilanz wurde vor Ergebnisverwendung aufgestellt.

Sachanlagen sind mit den Anschaffungs- oder Herstellungskosten, vermindert um planmäßige Abschreibungen, bewertet.

Finanzanlagen sind zu Anschaffungskosten bewertet.

Die Vorräte werden zu Anschaffungs- oder Herstellungskosten bzw. den niedrigeren Teilwerten bewertet.

Forderungen und sonstige Vermögensgegenstände sind zum Nennwert bilanziert.

Rückstellungen werden mit ihrem Erfüllungsbetrag angesetzt und berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen.

Verbindlichkeiten werden mit ihrem Erfüllungsbetrag angesetzt.

III. ERLÄUTERUNGEN ZUR BILANZ

Anlagevermögen

Bei der Entwicklung des Anlagevermögens sind im Geschäftsjahr Abschreibungen in Höhe von € 9.065,72 (Vj.€ 6.768,20) berücksichtigt.

Forderungen und sonstige Vermögensgegenstände

Die Forderungen und sonstigen Vermögensgegenstände mit einer Restlaufzeit bis zu einem Jahr betragen € 771.175,61 (Vj.€ 928.195,31).

Die Forderungen und sonstigen Vermögensgegenstände mit einer Restlaufzeit größer als fünf Jahre betragen € 181.284,13 (Vj.€ 181.284,13).

Es bestehen Forderungen gegen Gesellschafter in Höhe von € 550.645,61
(Vj.€ 431.114,15).

Kassenbestand, Guthaben bei Kreditinstituten

Die Bewertung ist zum Nominalwert erfolgt.

Verbindlichkeiten

Die Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr betragen € 2.497.484,10
(Vj.€ 435.969,04).

Die Verbindlichkeiten gegenüber Gesellschaftern betragen € 100.465,47 (Vj.€ 151.932,18). Die Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr.

Der Gesamtbetrag der Verbindlichkeiten, der durch Pfandrechte (Grundpfandrechte in Form von Grundschulden) gesichert ist, beträgt € 4.415.764,81 (Vj.€ 1.472.488,12).

IV. SONSTIGE ANGABEN

Geschäftsführer im Berichtszeitraum:

Anteilsbesitz

Die Gesellschaft ist an der Firma MaxSolar GmbH, Traunstein, im Umfang von 33,33 % beteiligt. Das Eigenkapital der MaxSolar GmbH zum 31.12.2015 beträgt 2.353.655,55 €.

Die Gesellschaft ist an der Firma MS-Holding GmbH & Co. KG, Traunstein, im Umfang von 33,33 % beteiligt. Das Eigenkapital der Gesellschaft zum 31.12.2015 beträgt 6.000,00 €.

Bei sämtlichen Beteiligungen wurde gem. § 286 Abs. 3 S. 1 Nr. 2 HGB auf die Angabe des Ergebnisses des Geschäftsjahres verzichtet, da dies den anderen Unternehmen erhebliche Nachteile zufügen würde.
