I. ALLGEMEINE ANGABEN

Die Firma Ch. & M. Sellmaier GmbH hat ihren Sitz in Deining und ist eingetragen im Handelsregister des Amtsgerichts München unter der Nummer HRB 93635.

Die Erstellung des Jahresabschlusses erfolgte nach den Vorschriften des Handelsgesetzbuches in der Fassung des Bilanzrichtlinie-Umsetzungsgesetzes (BilRUG). Eine Anpassung der Vorjahreswerte war nicht erforderlich. Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzbuches zu beachten.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

II. ANGABEN ZUR BILANZIERUNG UND BEWERTUNG EINSCHLIESSLICH DER VORNAHME STEUERRECHTLICHER MASSNAHMEN

Bilanzierungs- und Bewertungsgrundsätze

Die für die Aktiva und Passiva angewandten Bilanzierungs- und Bewertungsmethoden entsprechen den handels- und steuerrechtlichen Vorschriften und wurden gegenüber dem Vorjahr unverändert beibehalten.

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und, sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und entsprechend der steuerlichen Vorschriften linear vorgenommen.

Geringwertige Wirtschaftsgüter bis zu einem Wert von netto EUR 800,00 wurden im Jahr des Zugangs aktiviert und in voller Höhe abgeschrieben.

Die Vorräte wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt. Sofern die Tageswerte am Bilanzstichtag niedriger waren, wurden diese angesetzt.

Die Forderungen und sonstigen Vermögensgegenstände sind mit ihren Nominalwerten aktiviert.

Die liquiden Mittel wurden mit den Nennwerten angesetzt.

Als Rechnungsabgrenzungsposten wurden auf der Aktivseite Ausgaben vor dem Stichtag ausgewiesen, soweit sie Aufwand für eine bestimmte Zeit nach diesem Tag darstellen.

Die Steuerrückstellungen beinhalten die das Geschäftsjahr betreffenden, noch nicht veranlagten Steuern.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Die Verbindlichkeiten sind grundsätzlich mit den Rückzahlungs‑ bzw. Erfüllungsbeträgen angesetzt.

Pensionsrückstellungen:

Von dem Beibehaltungswahlrecht gemäß Artikel 67 Absatz 1 EGHGB wurde Gebrauch gemacht. Die Unterdeckung beträgt zum 31.12.2023 EUR 3.097,00.

Gemäß § 246 Absatz 2 HGB wurden die Ansprüche aus der Rückdeckungsversicherung in Höhe von EUR 140.878,53 mit den Pensionsrückstellungen in Höhe von EUR 961.389,00 verrechnet und auf der Passivseite ausgewiesen.

Bei den Rückstellungen für Altersversorgungsverpflichtungen ergibt sich zwischen dem Ansatz nach dem durchschnittlichen Marktzinssatz aus den vergangenen zehn Geschäftsjahren und dem Ansatz nach dem durchschnittlichen Marktzinssatz aus den vergangenen sieben Geschäftsjahren ein Unterschiedsbetrag im laufenden Geschäftsjahr in Höhe von EUR 12.423,00.
