Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Gesellschaft.

Bilanzierungs- und Bewertungsmethoden:

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und sofern sie der Abnutzung unterlagen um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw Herstellungskosten angesetzt und sofern es der Abnutzung unterlag, um planmäßige Abschreibungen entsprechend der steuerlichen Vorschriften vermindert. Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von 800,00 € wurden im Jahre des Zugangs voll abgeschrieben. Selbst erstellte Geschäftsbauten auf fremden Grund- und Boden wurden unter Einbeziehung der Einzelkosten und ohne Einbeziehung von Zinsen für Fremdkapital ausgewiesen.

Beteiligungen wurden zu Anschaffungskosten bilanziert. Einzahlungen über den Betrag des gezeichneten Stammkapitals hinaus in die Rücklagen der Beteiligungsgesellschaft wurden dabei aktiviert. Auf die Angabe nach § 285 Nr 11 HGB wird wegen der untergeordneten Bedeutung (§ 286 Abs 3 HGB) verzichtet.

Roh-, Hilfs und Betriebsstoffe und die Vorräte wurden zu Anschaffungs- und Herstellungskosten angesetzt.

Teilfertige Arbeiten wurden ausschließlich unter Einbezug der Einzelkosten quotal in Höhe der Leistungserbringung im Geschäftsjahr soweit aktiviert, als diese im Folgejahr werthaltige Forderung wurden.

Forderungen wurden unter Berücksichtigung aller erkennbaren Risiken unter Abzug von Einzel- und Pauschalwertberichtigungen ausgewiesen.

Forderungen gegen Unternehmen, mit denen ein Beteiligungsverhältnis besteht, wurden zum Nennwert unter Berücksichtigung einer gruppeninternen Verzinsung angesetzt.

Zum Nennwert erfasste sonstige Vermögensgegenstände beinhalten Ansprüche gegen Dritte und Gesellschafter-darlehen (gewährte Darlehen werden verzinst).

Liquide Mittel wurden zu Nennwerten bewertet.

Aktive Rechnungsabgrenzungsposten beinhalten den Teil – insbesondere von Versicherungsaufwendungen – der auf eine bestimmte Zeit nach dem Abschlussstichtag entfällt.

Für alle zugesagten Pensionsverpflichtungen wurden Rückstellungen auf Rechnungsgrundlage der „Richttafeln 2005 G von Klaus Heubeck und gemäß Projected Unit Credit Method“ auf Basis eines Fremdgutachtens unter Einbeziehung eines Rechnungszinses von 6% per annum gebildet.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten (insbesondere für Überstunden, Urlaub, weitere Personal-, Aufbewahrungskosten sowie Kosten der Rechtsverfolgung) gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Die Verbindlichkeiten aus Lieferungen und Leistungen sowie die Sonstigen Verbindlichkeiten sind in Höhe bestehender Verpflichtungen ausgewiesen

Die Gesellschaft hatte am Bilanzstichtag 49 Mitarbeitende iSd § 267 HGB (ohne Auszubildende und Geschäftsführer). Analog ermittelt hatte die Gesellschaft im Geschäftsjahre 2022 ebenso 49 und 48 Mitarbeitende im Jahre 2021.

Organmitglieder:

Alleinvertretungsberechtigte und von den Beschränkungen des § 181 BGB befreite Geschäftsführer der Gesellschaft waren im Geschäftsjahr Jens Uwe Thormählen, Dachdecker-, Zimmerer- und Bauklempnermeister sowie und Uwe Thormählen, Dachdeckermeister.
