1. Allgemeine Angaben

Der vorliegende Jahresabschluss der Schmidt GmbH mit Sitz in Emsbüren (Amtsgericht Osnabrück HR - B 101 131) ist nach den Vorschriften des Dritten Buches des HGB (§§ 238 ff) unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff HGB) aufgestellt worden.

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB.

2. Angaben zu Bilanzierungs- und Bewertungsmethoden

Der Jahresabschluss der Firma Schmidt GmbH, Emsbüren wurde auf der Grundlage der Bilanzierungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des Gesellschaftsvertrages zu beachten.

Folgende Bilanzierungs- und Bewertungsvorschriften sind maßgebend:

Die Vermögensgegenstände des Anlagevermögens sind zu Anschaffungs- bzw. zu Herstellungskosten, vermindert um planmäßige Abschreibungen, bewertet. Das Anlagevermögen wird linear entsprechend der voraussichtlichen Nutzungsdauer abgeschrieben.

Die Bewertung des Vorratsvermögens erfolgt zu Anschaffungs- bzw. Herstellungskosten oder mit dem niedrigeren beizulegenden Wert am Bilanzstichtag.

Forderungen und sonstige Vermögensgegenstände werden zum jeweiligen Nennwert oder dem niedrigeren beizulegenden Wert angesetzt. Allen erkennbaren Risiken wird, soweit erforderlich, durch angemessene, einzeln vorgenommene Abwertung Rechnung getragen. Hinsichtlich des allgemeinen Kreditrisikos ist eine Pauschalwertberichtigung für Forderungen aus dem Liefer- und Leistungsverkehr gebildet worden.

Guthaben bei Kreditinstituten sind zum Nennwert bewertet.

Für alle am Bilanzstichtag bestehenden ungewissen Verbindlichkeiten werden Rückstellungen gebildet. Die Bewertung erfolgt in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages.

Die Bewertung der Pensionsrückstellung erfolgt durch ein Gutachten der Württembergische Lebensversicherung AG.

Der Zinssatz für die Berechnung der Pensionsrückstellung auf den 31. Dezember 2018 beträgt 3,21 %. Das Gutachten der Württembergische Lebensversicherung AG weist zu diesem Stichtag einen Wert für die Pensionsrückstellung in Höhe von 398.078,00 € aus. Dieser Wert wurde entsprechend den Vorgaben des BilMoG mit den Rückdeckungsversicherungen von 198.660,64 € saldiert. Nach § 253 HGB ist ein Betrag von 22.650,00 € ausschüttungsgesperrt.

Die Verbindlichkeiten werden mit dem Erfüllungsbetrag passiviert.
