A. Allgemeine Angaben

Die Höninger GmbH mit Sitz in Ertingen wurde am 29.03.1995 durch notariell beurkundeten Gesellschaftsvertrag gegründet und am 10. Oktober 1995 in das Handelsregister beim Amtsgericht Ulm unter HRB 650279 eingetragen.

Es handelt sich um eine kleine Kapitalgesellschaft i. S. von § 267 Abs. 1 HGB. Die Bilanz gliedert sich entsprechend dem § 266 Abs. 2 und 3 HGB, die GuV wurde nach dem Gesamtkostenverfahren gem. § 275 Abs. 2 HGB erstellt.

B. Allgemeine Angaben zu Inhalt und Gliederung des Jahresabschlusses

Der Jahresabschlusswurde nach den Vorschriften der §§ 242 ff. HGB unter Beachtung der ergänzenden Bestimmungen für mittelgroße Kapitalgesellschaften (§§ 264 ff. HGB) sowie des GmbHG aufgestellt.

Größenabhängige Erleichterungen bei der Erstellung (§§ 266 Abs. 1, 276, 288 HGB) des Jahresabschlusses wurden teilweise in Anspruch genommen.

C. Bilanzierungs- und Bewertungsmethoden

Das Anlagevermögen ist mit Anschaffungs- oder Herstellungskosten, vermindert um planmäßige, nutzungsbedingte Abschreibungen, bilanziert.

Sachanlagen werden mit den Anschaffungs- und Herstellungskosten abzüglich der planmäßigen linearen Abschreibung bilanziert (§§ 253, 255 Abs.1 HGB). Für bewegliche Wirtschaftsgüter des Anlagevermögens, die im Jahr 2021 angeschafft wurden, wurde teilweise die degressive Abschreibung in Anspruch genommen. Außerplanmäßige Abschreibungen (§ 253 Abs. 3 S. 5 HGB) wurden aufgrund einer dauernden Wertminderung vorgenommen. Geringwertige Wirtschaftsgüter bis € 800,00 werden im Jahr der Anschaffung vollständig abgeschrieben.

Finanzanlagen werden zu Anschaffungskosten bewertet. Die Finanzanlagen werden jährlich auf ihrer Werthaltigkeit überprüft. Außerplanmäßige Abschreibungen waren danach nicht erforderlich.

Die Bewertung der Roh-, Hilfs- und Betriebsstoffe erfolgt zu letzten durchschnittlichen Anschaffungskosten bzw. mit den niedrigeren Tagespreisen. Der Ansatz der unfertigen Erzeugnisse und Waren beinhaltet die direkt zurechenbaren Einzelkosten sowie in angemessenem Umfang Gemeinkosten.

Die unfertigen Erzeugnisse/Leistungen wurden zu Herstellungskosten (Einzelkosten, angemessene Material- und Fertigungsgemeinkosten bewertet.

Forderungen und sonstige Vermögensgegenstände werden zum Nennbetrag angesetzt. Ausfallrisiken wurden angemessen berücksichtigt.

Flüssige Mittel und geleistete Anzahlungen wurden mit dem Nominalwert angesetzt.

Rechnungsabgrenzungsposten wurden entsprechend dem nicht dem Geschäftsjahr zuzurechnenden Aufwand abgegrenzt.

Das Eigenkapital umfasst neben dem Stammkapital den Gewinnvortrag und den auf das Geschäftsjahr entfallenden Jahresüberschuss. Laut Gesellschaftsvertrag beträgt das Stammkapital 100.000,00 DM. Es ist vollständig einbezahlt und noch nicht auf Euro umgestellt.

Die Steuerrückstellungen und sonstigen Rückstellungen sind zum Erfüllungsbetrag angesetzt, der nach vernünftiger kaufmännischer Beurteilung erforderlich ist.

Die Verbindlichkeiten sind zu Erfüllungsbeträgen ausgewiesen.

D. Angaben zu Posten der Bilanz und GuV

Unter den Forderungen sind keine enthalten, die eine Laufzeit von mehr als einem Jahr aufweisen.

Es besteht eine Forderung gegenüber dem Geschäftsführer i. H. v. 25.000,00 € (Vorjahr: -,-- €). Diese ist in dem Posten "sonstige Vermögensgegenstände" enthalten. Die Forderung wird mit 2,12 % verzinst.

Die sonstigen Rückstellungen enthalten im Wesentlichen Personalaufwendungen (Urlaub u. ä.) und Abschlusskosten.
