für das Geschäftsjahr 2023

I. Allgemeine Angaben und Erläuterungen zum Jahresabschluss

Der Jahresabschluss zum 31. Dezember 2023 ist nach den Vorschriften der §§ 242, 264 ff. HBG aufgestellt. Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 HGB.

Die Wertansätze zum 31.12.2022 wurden unverändert übernommen.

Bilanzierungs- und Bewertungsgrundsätze

1. Anlagevermögen
Die Sachanlagen werden mit Anschaffungs- oder Herstellungskosten und, soweit abnutzbar, unter Berücksichtigung planmäßiger Abschreibungen bewertet. Steuerlich mögliche Sonderabschreibungen werden genutzt und aktivisch abgesetzt. Für die Abschreibungen gelten die Grundsätze des § 7 EStG. Die beweglichen Anlagegüter werden nach Maßgabe der jeweils kürzesten steuerlich für zulässig gehaltenen Nutzungsdauer in der Regel linear abgeschrieben.

2. Umlaufvermögen
Die Forderungen und sonstigen Vermögensgegenstände werden zu Nominalwerten bilanziert. Alle erkennbaren Einzelrisiken werden durch angemessene Einzelwertberichtigungen berücksichtigt.

3. Passiva
Die Verbindlichkeiten werden mit ihrem Erfüllungsbetrag passiviert.

II. Angaben und Erläuterungen zur Bilanz

1. Anlagevermögen
Als Anschaffungs- und Herstellungskosten sind die historischen Werte angesetzt.

2. Forderungen aus Lieferungen und Leistungen
Die Forderungen aus Lieferungen und Leistungen beinhalten im Wesentlichen Kundenforderungen.

3. Eigenkapital
Die Gesellschaft weist ein Stammkapital in Höhe von € 25.000,00 aus.

In diesem Geschäftsjahr weist die Gesellschaft einen Jahresfehlbetrag von € 1.513.543,99 (Vorjahr € 639.550,02) aus.

Die Gesellschaft weist zum Bilanzstichtag einen nicht durch Eigenkapital gedeckten Fehlbetrag in Höhe von € 2.297.768,77 (Vorjahr € 789.224,78) aus.

Zur Abwendung der tatsächlichen Überschuldung erklärt die AREAL Holding GmbH in Höhe eines Teilbetrags ihrer Darlehensforderung von € 2.300.000,00 den Rangrücktritt ihrer ungesicherten Forderungen hinter allen anderen Gläubigern.

4. Verbindlichkeiten
Der Ausweis betrifft eine Verbindlichkeit aus Lieferung und Leistung.

5. Verbindlichkeiten gegenüber verbundenen Unternehmen
Der Ausweis betrifft im Wesentlichen die Verbindlichkeiten der Gesellschaft gegenüber der Connect2 Service Group GmbH aus dem Clearingbereich.

III. Angaben und Erläuterungen zur Gewinn- und Verlustrechnung
Entfallen gem. § 288 HGB
