A. Rechtliche Verhältnisse

Die Firma telepanic.net management solutions GmbH wurde am 26.03.2008 gegründet.

Die Gesellschaft ist im Handelsregister beim Amtsgericht Essen unter der Nummer HRB 20691 eingetragen. Der Sitz der Gesellschaft ist in Essen, Girardetstr. 2-38.

Das Stammkapital beträgt 25.000,00 € und ist in voller Höhe eingezahlt. Es wird zum 31.12.2020 von den nachfolgend aufgeführten Gesellschaftern gehalten:

Herrn Martin Telepanic: Stammeinlage 12.750,00 € = 51 %,
Micro Star Software GmbH: Stammeinlage 12.250,00 € = 49 %.

Gegenstand der Gesellschaft ist der Handel mit EDV-Komponenten, die Einrichtung und Betreuung von Datennetzwerken, IT - Dienstleistungen inclusive Beratung, Projektierung und Schulungen.

Die Gesellschaft ist berechtigt, gleichartige oder ähnliche Unternehmen zu erwerben, sich an solchen zu beteiligen, deren Vertretung zu übernehmen sowie Zweigniederlassungen und / oder Tochtergesellschaften im In- und Ausland zu errichten.

Das operative Geschäft wird seit dem 26.03.2008 betrieben.

B. Rechnungswesen

Es wurde nach dem Kontenrahmen SKR 03 gebucht, die Belege hierzu sind ordnungsgemäß abgelegt.

Bei der Erstellung des Jahresabschlusses sind mir keine buchungspflichtigen Geschäftsvorfälle bekannt geworden, die in den Büchern der Gesellschaft nicht enthalten sind.

Die erbetenen Auskünfte und Nachweise sind mir von der Geschäftsleitung der Gesellschaft bereitwillig erteilt worden.

C. Jahresabschluss

1. Anlagevermögen:

Das Sachanlagevermögen wird zu Anschaffungskosten, vermindert um die planmäßigen Abschreibungen bewertet. Als Anschaffungskosten sind die historischen Werte ausgewiesen. Die Entwicklung des Anlagevermögens vom 01.01.2020 bis zum 31.12.2020 wird als Anlage gesondert dargestellt.

Die Abschreibungssätze der Wirtschaftsgüter richten sich nach der betriebsgewöhnlichen Nutzungsdauer der einzelnen Gegenstände.

2. Umlaufvermögen:

Der Bankbestand wurde mit den jeweiligen Tagesauszügen zum Bilanzstichtag nachgewiesen.

3. Rückstellungen:

Die Rückstellungen decken die am Bilanzstichtag drohenden ungewissen Verbindlichkeiten der Gesellschaft ausreichend ab.

4. Verbindlichkeiten:

Die Verbindlichkeiten wurden mit den Erfüllungsbetrag angesetzt.

Die Verbindlichkeiten aus Löhnen und Gehältern und Lohnsteuern sind mit der Lohnbuchhaltung abgestimmt.

D. Gewinnverwendung

Die Geschäftsführung schlägt der Gesellschafterversammlung vor, das Bilanzergebnis 2020 wie folgt zu verwenden:

Jahresgewinn 2020:	50.755,64 €,
Gewinnausschüttung:	0,00 €,
Vortrag auf neue Rechnung:	123.797,64 €.
