1. Größenordnung
Bei der Gesellschaft handelt es sich um eine kleine Gesellschaft im Sinne des § 267 (1) HGB.


2. Bilanzierungs- und Bewertungsmethoden
Der Jahresabschluss wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des HGB aufgestellt.
Ergänzend dazu wurden die Regelungen des GmbH-Gesetzes beachtet.
Im Einzelnen sind dies folgende Grundsätze und Methoden:
Das Sachanlagenvermögen wurde zu Anschaffungs- bzw. Herstellungskosten bewertet und, soweit absetzbar, um planmäßige Abschreibungen vermindert.

Bei der Ermittlung der Abnutzung des Anlagevermögens wurde von der voraussichtlichen Nutzungsdauer, in Anlehnung an die Afa-Tabellen, ausgegangen. Es wurde die lineare Abschreibungsmethode in Anwendung gebracht.
Es bestehen Abweichungen zur Steuerbilanz (Sonderabschreibungen, Investitionsabzugsbetrag). § 274 HGB wurde unter Anwendung des § 274a Nr.5 HGB (größenabhängige Erleichterungen) nicht in Ansatz gebracht. Aufgrund der zeitlichen Differenzen waren jedoch Rückstellungen für passive latente Steuern zu bilden.
Die Bewertung der sonstigen Vermögensgegenstände erfolgte unter Berücksichtigung erkennbarer Risiken und Ausfälle.
Entstandene Aufwendungen für spätere Zeiträume wurden in Anwendung der handelsrechtlichen Vorschriften aktiv abgegrenzt.
Die Steuerrückstellungen wurden entsprechend den Selbstberechnungen erfasst. Sonstige Rückstellungen wurden für ungewisse Verbindlichkeiten nach vernünftiger kaufmännischer Beurteilung gebildet.
Alle Rückstellungen sind dem Grunde und der Höhe nach ausreichend.
Verbindlichkeiten wurden mit dem Rückzahlungsbetrag angesetzt.
Zwischen der Gesellschaft und dem Geschäftsführer besteht ein Verrechnungskonto in Form eines Kontokorrents. Der Zinssatz beträgt 6% p.a., der Rahmen beläuft sich auf T€ 5,0. Zum Bilanzstichtag valutierte das Darlehen mit T€ 0,03 zugunsten der Gesellschaft.


3. Sonstige Pflicht- bzw. freiwillige Angaben
1. Verbindlichkeiten mit einer Restlaufzeit von mehr als 5 Jahren bestehen nicht.
2. Die Gesellschaft wurde im Geschäftsjahr gegründet und in das Handelsregister eingetragen. Vorjahreszahlen waren daher nicht anzusetzen.
3. Zum Geschäftsführer des Unternehmens wurde bestellt:

Herr Ulrich Junghanns, Diplom-Staatswissenschaftler

           Er vertritt die Gesellschaft allein und ist von den Beschränkungen des § 181 BGB befreit.
