I. ALLGEMEINE ERLÄUTERUNGEN

Die Firma Codex Engineering GmbH mit Sitz in Fürth ist im Handelsregister beim Amtsgericht Fürth unter der Registernummer HRB 10181 eingetragen.

Der Jahresabschluss für das Geschäftsjahr vom 01.01.2023 bis 31.12.2023 wurde nach den Vorschriften des Handelsgesetzbuches unter Beachtung der ergänzenden Vorschriften des GmbH-Gesetzes aufgestellt. Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Absatz 1 HGB auf.

Der vorliegende Jahresabschluss ist grundsätzlich unter Beibehaltung der für den Vorjahresabschluss angewendeten Gliederungs- und Bewertungsgrundsätze nach den für kleine Kapitalgesellschaften geltenden Vorschriften aufgestellt.

In der Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gemäß § 275 Absatz 2 HGB angewendet.

Die Zahlen des Vorjahres sind zu Vergleichszwecken gegenübergestellt.

II. BILANZIERUNGS- UND BEWERTUNGSMETHODEN

Die Vermögensgegenstände, Schulden und Rechnungsabgrenzungsposen sind nach den allgemeinen Ansatz- und Bewertungsvorschriften (§§ 246-251, 252-256a HGB) unter Berücksichtigung der besonderen Ansatzvorschriften für Kapitalgesellschaften bilanziert.

Die Vorräte werden zu Herstellungskosten unter Beachtung des Niederstwertprinzips angesetzt.

Forderungen und sonstige Vermögensgegenstände werden zum Nennwert bzw. zum niedrigeren beizulegenden Wert angesetzt.

Die sonstigen Rückstellungen werden für ungewisse Verbindlichkeiten gebildet. Sie werden mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt.

Die Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt.

III. ANGABEN UND ERLÄUTERUNGEN ZUR BILANZ

Forderungen aus Lieferungen und Leistungen

Forderungen mit einer Restlaufzeit von mehr als einem Jahr bestehen nicht. Im Berichtsjahr 2023 bestehen keine Einzelwertberichtigungen. Eine Pauschalwertberichtigung wurde mit 1% des nicht einzelwert- berichtigten Forderungsbestandes in Höhe von T€ 3 (Vj. T€ 3) gebildet.

Sonstige Vermögensgegenstände

Es besteht eine Forderung mit T€ 12 (Vj. T€ 11) mit einer Restlaufzeit von mehr als einem Jahr. Es handelt sich um ein Darlehen an Herrn Philipp Zinajic.
Forderungen gegen Gesellschafter bestehen in Höhe von T€ 210 (Vj. T€ 187).

Sonstige Rückstellungen

beinhalten Abschlusskosten und Personalkosten.

Verbindlichkeiten

Sämtliche Verbindlichkeiten haben eine Restlaufzeit von bis zu einem Jahr.

IV. SONSTIGE ANGABEN

Geschäftsführer

Im Berichtsjahr waren die Herren Tihomir-Marco Zinaic-Heller und Philipp Zinajic als einzelvertretungsberechtigte Geschäftsführer bestellt. Wegen Angabe der Bezüge wird auf § 286 Abs. 4 HGB verwiesen.

Mitarbeiter

Die Gesellschaft beschäftigte neben den beiden Geschäftsführern im Geschäftsjahr 9 Mitarbeiter.

Verwendung des Jahresergebnisses

Der Jahresüberschuss wird auf neue Rechnung vorgetragen.

Nachtragsbericht

Die Corona-Pandemie sowie der Ukraine-Krieg beschäftigen weiterhin die gesamte Weltwirtschaft. Direkte Auswirkungen sind derzeit bei der Codex Engineering GmbH nur in geringem Maße vorhanden. Die Geschäftsführung hat bisher mit geeigneten Maßnahmen reagiert, um den wirtschaftlichen Schaden zu minimieren.
