Anhang

I. Allgemeine Angaben

Der Jahresabschluss der Gesellschaft wurde nach den Vorschriften des deutschen Handelsrechts für Kapitalgesellschaften und des Aktiengesetzes erstellt.

Die Gesellschaft ist eine kleine Kapitalgesellschaft i.S.d. § 267 HGB. Von den Erleichterungen für Aufstellung und Offenlegung macht die Gesellschaft Gebrauch.

Die gesetzlichen Gliederungsschemata der §§ 266 und 275 HGB wurden beachtet. Die Gewinn- und Verlustrechnung wurde im Gliederungsschema nach dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB aufgestellt. Das Geschäftsjahr entspricht dem Kalenderjahr.

Gegenstand des Unternehmens ist die Entwicklung und Vertrieb von industriellen Software-Lösungen, Hardwarelösungen und digitalen Services im Bereich Fabrikautomatisierung, Prozessautomatisierung und Robotik sowie verwandten Anwendnungen.

Die Gesellschaft Software Defined Automation GmbH ist unter der Firma im Handesregister beim Amtsgericht München unter der Registernummer HRB 267933 eingetragen.

II. Bilanzierungs- und Bewertungsgrundsätze

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert. Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Forderungen, sonstige Vermögensgegenstände und flüssige Mittel werden zum Nennwert angesetzt und unter Berücksichtigung aller erkennbaren Risiken bewertet. Bei den Forderungen aus Lieferungen und Leistungen wird bei Bedarf allen erkennbaren Risiken durch Einzel- und Pauschalwertberichtigungen Rechnung getragen.

Als aktiver (passiver) Rechnungsabgrenzungsposten werden Ausgaben (Einnahmen) vor dem Abschlussstichtag ausgewiesen, sofern sie Aufwand (Ertrag) für eine bestimmte Zeit nach diesem Tag darstellen.

Die Rückstellungen werden mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt.

Verbindlichkeiten werden mit ihrem Erfüllungsbetrag passiviert.

Auf fremde Währung lautende Vermögensgegenstände und Verbindlichkeiten wurden grundsätzlich mit dem Devisenkassamittelkurs zum Abschlussstichtag umgerechnet.

Die Bilanzierungs- und Bewertungsgrundsätze blieben gegenüber dem Vorjahr unverändert.

III. Angaben und Erläuterungen zu einzelnen Posten der Bilanz

Die Aufgliederung und die Entwicklung der Anlageposten sind in dem als Anlage zum Anhang beigefügten Anlagenspiegel dargestellt.

Forderungen und sonstige Vermögensgegenstände mit einer Restlaufzeit von über einem Jahr bestehen in Höhe von EUR 4.821 (Vj. EUR 2.996).

Sonstige Vermögensgegenstände mit einer Restlaufzeit von bis zu einem Jahr bestehen in Höhe von EUR 47.817 EUR (Vj. EUR 30.237).

Das Stammkapital beträgt zum 31.12.2022 EUR 25.000.

Sonstige Verbindlichkeiten mit einer Restlaufzeit von bis zu einem Jahr bestehen in Höhe von EUR 2.732.098 (VJ EUR 2.563.688). Hierbei handelt es sich u.a. um convertible loans in Höhe von EUR 2.445.000. Die Verbindlichleiten aus Lieferungen und Leistungen in Höhe von EUR 186.903 (VJ EUR 107.580) haben eine Laufzeit von bis zu einem Jahr.

Verbindlichkeiten gegenüber Kreditinstituten mit einer Restlaufzeit von 1 - 5 Jahren bestehen nicht.

Verbindlichkeiten gegenüber verbundenen Unternehmen bestehen in Höhe von EUR 47.504 (Vj EUR 0).

In der Position Passive Rechnungsabgrenzungen wird eine erhalten Anzahlung für Leistungen im Folgejahr in Höhe von EUR 3.950 (Vj EUR 0) ausgewiesen.

In den Verbindlichkeiten sind folgende Positionen enthalten:

1. Aus Steuern EUR 17.137 (Vj. EUR 11.106)
2. Im Rahmen der sozialen Sicherheit EUR 27.962 (Vj EUR 0 )

IV. Sonstige Angaben

1. Organe der Gesellschaft

Zum Geschäftsführer war im Berichtsjahr 2022 bestellt:
