Who has to publish what?

What must be published depends on company size, measured by total assets, revenue and headcount: a company belongs to a size class when it stays below two of the three limits on two consecutive balance-sheet dates. Current limits:

Micro-companies up to €450,000 total assets · €900,000 revenue · 10 employees
Only deposit a balance sheet, which is not publicly viewable. No figures appear here.
Small companies up to €7.5 million total assets · €15 million revenue · 50 employees
Publish an abridged balance sheet without a profit and loss statement. Revenue and net income are then missing.
Medium-sized companies up to €25 million total assets · €50 million revenue · 250 employees
Publish the balance sheet and an abridged profit and loss statement.
Large companies (above that)
Publish the full annual statement including the management report.

Sole traders and partnerships with a natural person as fully liable partner (such as GbR, OHG or a classic KG) are not required to disclose at all. Figures then only exist if they were published voluntarily.

Other typical reasons:

The company has fallen below the size limits and has only deposited its statements since, instead of publishing them.
The company was dissolved, merged, liquidated or is insolvent. After that, statements are usually no longer published.
The filing was missed or is late. The Federal Office of Justice then imposes fines, but publication often still happens years later.

für das Geschäftsjahr 2010

1. Vorbemerkungen

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Die größenabhängigen Erleichterungen für kleine Gesellschaften werden in Anspruch genommen

Die Gewinn- und Verlustrechnung wird nach dem Gesamtkostenverfahren aufgestellt

Bei der erstmaligen Aufstellung des Jahresabschlusses nach dem Bilanzrechtsmodernisierungsgesetz (BilMoG) wurden die Vorjahresvergleichszahlen aufgrund des Wahlrechtes des Art. 67 Abs. 8 Satz 2 EGHGB nicht angepasst.

2. Bilanzierungs- und Bewertungsvorschriften

Die Bilanzierung und Bewertung wird nach den allgemeinen Bestimmungen der §§ 246 bis 256 HGB unter Berücksichtigung der Sondervorschriften für Kapitalgesellschaften (§§ 264 bis 283 HGB) und § 42 GmbHG vorgenommen.

Die Sachanlagen sind zu Anschaffungskosten, vermindert um planmäßige Abschreibungen, aktiviert. Die Abschreibungen erfolgen linear über die betriebsgewöhnliche Nutzungsdauer. Im Berichtsjahr wurden abnutzbare bewegliche geringwertige Anlagegüter über Euro 150,00 bis Euro 1.000,00 gemäß § 6 Abs. 2 a EStG in einen Sammelposten eingestellt und linear über einen Zeitraum von fünf Jahren abgeschrieben.

Neuzugänge an beweglichem Sachanlagevermögen wurden in 2010 generell nach der linearen Methode abgeschrieben.

Die Forderungen und sonstigen Vermögensgegenstände sind grundsätzlich zu ihren Nominalwerten angesetzt; erkennbare Ausfallrisiken werden durch entsprechende Wertberichtigungen berücksichtigt.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen und sind nach vernünftiger kaufmännischer Beurteilung bewertet.

Die Verbindlichkeiten sind mit dem Rückzahlungsbetrag angesetzt.

3. An gaben zur Bilanz

Sämtliche Forderungen und sonstigen Vermögensgegenstände haben eine Restlaufzeit von weniger als einem Jahr.

Von den sonstigen Verbindlichkeiten entfallen Euro 2.576,08 auf Steuern.

4. Sonstige Angaben

Als Geschäftsführer im Berichtszeitraum war Herr Thomas Hoffmann bestellt.

Die Angabe der Geschäftsführerbezüge unterbleibt gemäß § 286 Abs. 4 HGB.

Die Geschäftsführung schlägt vor, den Jahresfehlbetrag in Höhe von Euro 13.053,49 mit dem Gewinnvortrag von Euro 4.074,80 zu verrechnen und den Restbetrag als Verlustvortrag fortzuführen.
