ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSS

Die Firma eMBIS GmbH mit Sitz in Hallbergmoos ist im Handelsregister des AG München unter der Nummer HRB 141204 eingetragen. Der Jahresabschluss wurde nach den Vorschriften des Handelsgesetzbuches unter Beachtung des GmbH-Gesetzes aufgestellt. Das Geschäftsjahr entspricht dem Kalenderjahr.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt. Die Aufstellung der Bilanz erfolgt nach teilweiser Berücksichtigung der Gewinnverwendung.

Nach den in § 267a HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft. Von den größenabhängigen Erleichterungen bezüglich der Form der Darstellung wird deshalb Gebrauch gemacht. Auf die Erstellung eines Lageberichts wird verzichtet.

Posten der Bilanz und der Gewinn- und Verlustrechnung, die weder im Geschäftsjahr noch im Vorjahr einen Betrag ausweisen, werden gemäß § 265 Abs.8 HGB nicht angegeben.

ERLÄUTERUNGEN ZUR BEWERTUNG UND GLIEDERUNG

Bei Aufstellung der Bilanz und Gewinn- und Verlustrechnung wurden deshalb folgende Bilanzierungs- und Bewertungsmethoden angewandt:

Die Sachanlagen werden zu den Anschaffungs- oder Herstellungskosten abzüglich linearer Abschreibungen angesetzt. Geringwertige Anlagegüter bis zu einem Anschaffungspreis von 250 Euro werden im Jahr der Anschaffung in voller Höhe als Betriebsausgabe berücksichtigt. Anlagegüter mit einem Anschaffungspreis über 250 Euro bis 800 Euro werden in das Anlageverzeichnis aufgenommen und im Jahr des Zugangs voll abgeschrieben.

Vorräte und Waren wurden mit den individuellen Anschaffungs- oder Herstellungskosten bei Anwendung zulässiger Bewertungsvereinfachungsverfahren oder zu niedrigeren Tageswerten angesetzt. Erkennbare Risiken im Vorratsvermögen, die sich aus überdurchschnittlicher Lagerdauer, geminderter Verwendbarkeit etc. ergeben, waren nicht zu berücksichtigen.

Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert bzw. dem niedrigeren beizulegenden Wert angesetzt. Zur Berücksichtigung des allgemeinen Kreditrisikos bilden wir Pauschalwertberichtigungen. Bei zweifelhaft einbringlichen Forderungen nehmen wir Einzelwertberichtigungen vor.

Liquide Mittel sind zum Nominalwert angesetzt.

Aktive Rechnungsabgrenzungen wurden gebildet, soweit die Gesamthöhe der Abgrenzungen für die Vermögenslage von Bedeutung ist. Sie wurden zur periodengerechten Abgrenzung der Aufwendungen angesetzt.

Steuerrückstellungen und sonstige Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags passiviert. Sie berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen.

Verbindlichkeiten wurden mit ihrem Erfüllungsbetrag angesetzt.

ERLÄUTERUNGEN ZUR BILANZ UND GUV

Die Gesellschaft ist an keinen Unternehmen zu mindestens 20% beteiligt.

Im Posten sonstige Vermögensgegenstände sind keine antizipativen Beträge größeren Umfangs enthalten. Alle Forderungen und sonstigen Vermögensgegenstände haben eine Restlaufzeit von bis zu einem Jahr.

Die sonstigen Rückstellungen wurden für die auszuzahlenden Tantiemen, noch zu erfüllende Urlaubsverpflichtungen, Archivierung von Unterlagen sowie die Kosten des Jahresabschlusses gebildet.

Rückstellungen für latente Steuerverpflichtungen waren im Berichtsjahr nicht zu bilden, da sich keine Unterschiede zwischen Handels- und Steuerbilanz ergaben, die zu einem niedrigerem Steueraufwand führen, der in den späteren Geschäftsjahren durch einen entsprechend höheren Steueraufwand ausgeglichen wird.

Die Verbindlichkeiten aus Lieferungen und Leistungen sind im branchenüblichen Umfang durch Eigentumsvorbehalte gesichert.

SONSTIGE ANGABEN

Nach Angabe der Geschäftsführung bestanden neben branchenüblichen Gewährleistungsverpflichtungen keine weiteren Haftungsverhältnisses i.S. § 251 HGB (Verbindlichkeiten aus der Begebung und Übertragung von Wechseln, aus Bürgschaften, Wechsel- und Scheckbürgschaften sowie Haftungsverhältnisse aus der Bestellung von Sicherheiten für fremde Verbindlichkeiten). Vorgänge von besonderer Bedeutung mit wesentlichen Einfluss auf die Ertrags-, Finanz- und Vermögenslage sind nach dem Ende des Geschäftsjahres nicht eingetreten.

Im Berichtsjahr war Herr Markus Bockhorni, Kaufmann, Hallbergmoos zum Geschäftsführer bestellt.

ERGEBNISVERWENDUNG

Der Gesellschafterversammlung wird vorgeschlagen, den Jahresüberschuss auf neue Rechnung vorzutragen.
