A. Angaben zur Bewertung und Bilanzierung

1. Allgemeine Angaben

Bei der Gesellschaft handelt es sich um eine kleine Kapitalgesellschaft i. S. von § 267 Abs. 1 und Abs. 4 HGB.

Der Jahresabschluss zum 31. Dezember 2020 wurde gem. §§ 242 ff und §§ 264 ff HBG sowie nach den einschlägigen Vorschriften des GmbHG und BilRUG aufgestellt.

Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren aufgestellt.

Gegenstand der Gesellschaft ist die Entwicklung und Vermarktung von Software aller Art.

Der Jahresabschluss wurde unter teilweiser Ergebnisverwendung aufgestellt.

2. Bilanzierungs- und Bewertungsgrundsätze

Die Vermögensgegenstände und Schulden wurden unverändert zum Vorjahr unter Beachtung der Grundsätze ordnungsmäßiger Buchführung und der generellen Vorschriften der §§ 252 bis 256 HGB sowie der besonderen Vorschriften für Kapitalgesellschaften (§§ 269 bis 274, 279 bis 283 HGB) wie folgt angesetzt und bewertet.

Das Sachanlagevermögen ist zu Anschaffungs- bzw. Herstellungskosten angesetzt und wird, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Das Vorratsvermögen wurde zu Einstandspreisen unter retrograden Bewertungen zum Bilanzstichtag bewertet.

Forderungen und sonstige Vermögensgegenstände wurden mit dem Nennwert ausgewiesen.
Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten.

Die Verbindlichkeiten wurden mit den Rückzahlungsbeträgen angesetzt.

B. Angaben und Erläuterungen zu den einzelnen Posten

I. Posten der Bilanz

1. Anlagevermögen
Die Entwicklung und Änderung der einzelnen Posten des Anlagevermögens ist unter Angabe der Abschreibungen des Geschäftsjahres im Anlagengitter dargestellt

2. Forderungen und sonstige Vermögensgegenstände
Sämtliche ausgewiesenen Positionen haben grundsätzlich eine Restlaufzeit von bis zu einem Jahr.

2. Gezeichnetes Kapital

Das Stammkapital beträgt Euro 60.000,00. Es ist in voller Höhe eingezahlt.
Der ausgewiesene nicht gedeckte Fehlbetrag / bilanzielle Überschuldung zum Bilanzstichtag war zum Feststellungszeitpunkt durch die positive Geschäftsentwicklung im Folgezeitraum zum Feststellungszeitpunkt aufgehoben.

3. Verbindlichkeiten

Die ausgewiesenen Verbindlichkeiten haben grundsätzlich eine Restlaufzeit von bis zu einem Jahr.

Die jährlichen Miet-, Wartungs- und Lizenzzahlungen gegenüber Dritten und Gruppenunternehmen und Dritten betrugen jährlich rd. TEuro 81

II. Organe der Gesellschaft Geschäftsführer der Gesellschaft war im Berichtsjahr der Gesellschafter Herr Wilhelm Einhaus. Der Geschäftsführer war von den Beschränkungen des § 181 BGB befreit.
