für das Geschäftsjahr 2010

A. Allgemeine Angaben

Der Jahresabschluss für das Geschäftsjahr 2010 wurde nach den Vorschriften des Handelsgesetzbuches und GmbH-Gesetzes aufgestellt. Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB.

Der Jahresabschluss wurde erstmals nach den Vorschriften des Bi-lanzrechtsmodernisierungsgesetzes (BilMoG) aufgestellt. Die bisherige Form der Darstellung und die bisher angewandten Bewertungsmethoden wurden insoweit angepasst. Eine Durchbrechung der Stetigkeit liegt insoweit nicht vor (Art. 67 Abs. 8 Satz 1 EGHGB). Die Vorjahreszahlen wurden entsprechend Art. 67 Abs. 8 Satz 2 EGHGB nicht angepasst.

Zum 1. Januar 2010 hat sich mit Übergang auf die Rechnungslegungsvorschriften nach BilMoG kein außerordentliches Ergebnis ergeben.

B. Bilanzierungs- und Bewertungsgrundsätze

Die Sachanlagen sind zu Anschaffungs- und Herstellungskosten zuzüglich Nebenkosten abzüglich Anschaffungskostenminderungen und, soweit abnutzbar, vermindert um Abschreibungen angesetzt.

Die Abschreibungen erfolgen unter Berücksichtigung nutzungsbedingter planmäßiger Abschreibungen. Grundlage der planmäßigen Abschreibung ist die voraussichtliche Nutzungsdauer des jeweiligen Vermögensgegenstandes.

Für die Anschaffungskosten der geringwertigen Anlagegüter der Wirtschaftsjahre 2008 und 2009 sind jeweils Sammelposten gebildet worden. Diese werden vermindert um lineare Abschreibungen in Höhe von 20 % bilanziert.

Die sonstigen Vermögensgegenstände sind mit ihrem Nennwert bewertet. In den sonstigen Vermögensgegenständen sind solche gegen die geschäftsführenden Gesellschafter in Höhe von € 9.765,52 (Vorjahr: € 0,00) enthalten.

Das Guthaben bei Kreditinstituten ist zum Nennwert angesetzt.

Das gezeichnete Kapital ist zum Nennwert angesetzt.

Die sonstigen Rückstellungen sind nach vernünftiger kaufmännischer Beurteilung aller Umstände im Einzelfall gebildet und sichern erkennbare Risiken in ausreichender Höhe ab.

Verbindlichkeiten sind in der Bilanz mit ihrem Erfüllungsbetrag ausgewiesen.

C. Erläuterungen und Angaben zur Bilanz

Sämtliche sonstige Vermögensgegenstände haben wie im Vorjahr eine Restlaufzeit bis zu einem Jahr.

Das gezeichnete Kapital von 25.000,00 € ist in Höhe von 12.500,00 € eingezahlt.

Die sonstigen Rückstellungen umfassen die Kosten für die Erstellung des Jahresabschlusses.

D. Geschäftsführung

Die Geschäftsführung erfolgte bis zum 15.12.2010 durch die Geschäftsführer der Gesellschaft Herrn Rolf Brünig, Kaufmann, Springe und Fritz Feike, Kaufmann, Hannover, anschließend durch die von den Beschränkungen des § 181 BGB befreiten Geschäftsführer der Gesellschaft Herrn Dennis Brünig, Kaufmann, Hannover und Herrn Tobias Höfle, Kaufmann, Hannover.
