Anhang

Erläuterungen zum Jahresabschluss

Der Jahresabschluss der Tessolve Semiconductor GmbH für das Geschäftsjahr 2024 vom 01. April 2023 bis 31. März 2024 wurde nach den Vorschriften des Handelsgesetzbuches aufgestellt.

Die Tessolve Semiconductor GmbH ist mit Datum vom 27.04.2017 beim Amtsgericht Hannover, HRB 215164 eingetragen. Der Sitz der Gesellschaft ist Hannover.

Zusätzlich zu diesen Regelungen wurden die Bestimmungen des GmbH-Gesetzes beachtet.

Nach der in § 267 HGB festgelegten Größe ist die Gesellschaft eine kleine Kapitalgesellschaft. Die relevanten Kriterien sind wie folgt:

Informationen und Erläuterungen zur Bilanz und zur Gewinn- und Verlustrechnung

Bilanzierungs- und Bewertungsvorschriften ( 284 Abs.2 Nr. 1 HGB):

Die Bilanzierungs- und Bewertungsmethoden werden konsequent an die einkommensteuerlichen Vorschriften angepasst.

Die Zugänge zum Anlagevermögen werden zu Anschaffungs- oder Herstellungskosten angesetzt. Gegenstände, deren Nutzung zeitlich begrenzt ist, wurden entsprechend ihrer voraussichtlichen Nutzungsdauer unter Zugrundelegung der steuerlich zulässigen Höchstwerte abgeschrieben. Die Möglichkeiten der beschleunigten Abschreibung wurden nicht in Anspruch genommen. Von der Bewertungsfreiheit nach § 6 Abs. 2 EStG wurde kein Gebrauch gemacht.

Die Roh-, Hilfs- und Betriebsstoffe sind zu den Anschaffungskosten des niederen Werts bewertet.

Mögliche Risiken bei Forderungen wurden berücksichtigt. Die Einzelwertberichtigung auf Forderungen war nicht erforderlich.

Für alle anderen ungewissen Verbindlichkeiten wurden sonstige Rückstellungen gebildet. Insgesamt wurde den erkennbaren Risiken Rechnung getragen.

Verbindlichkeiten wurden mit ihrem Rückzahlungsbetrag angesetzt. Waren die Tageswerte höher als die Rückzahlungsbeträge, wurden die Verbindlichkeiten mit dem höheren Zeitwert angesetzt.

Informationen zu den Bilanzpositionen:

Zur Darstellung der Entwicklung des Anlagevermögens gemäß § 268 Abs. 2 Satz 2 HGB und zur Angabe der Abschreibungen des Geschäftsjahres gemäß § 268 Abs. 2 Satz 3 HGB wird auf den Anlagenspiegel verwiesen.

Forderungen und sonstige Vermögensgegenstände mit einer Restlaufzeit von mehr als einem Jahr (§ 268 Abs. 4 HGB) bestehen in Höhe von 549.043,14 EUR (Vorjahr: 340.341,97 EUR).

Eine Rückstellung für latente Steuern wurde nicht gebildet, da die Bewertung den ertragsteuerlichen Vorschriften entspricht.

Verbindlichkeiten mit einer Laufzeit von mehr als einem Jahr (§ 268 Abs. 5 HGB) liegen nicht vor.

In den sonstigen Verbindlichkeiten in Höhe von 259.660,72 EUR sind enthalten:

· Darlehen von Schwestergesellschaften	122.257,70 EUR
· Verbindlichkeiten aus Steuern	116,915.13 EUR
· Verbindlichkeiten aus Lohn und Gehalt	17.646,41 EUR
· Verbindlichkeiten aus sozialer Sicherheit	2,841.48 EUR

Informationen zur Gewinn und Verlustrechnung:

Die Gewinn- und Verlustrechnung wurde gemäß § 275 Abs. 2 HGB auf der Grundlage der Aufwendungen erstellt.

Steuern vom Einkommen und vom Ertrag mindern das Ergebnis der gewöhnlichen Geschäftstätigkeit nicht (§ 285 Nr. 6 HGB).

Sonstige Angaben nach § 285 in Verbindung mit § 288 HGB und Erläuterungen zur Ertrags-, Vermögens- und Finanzlage:
