Anhang

1. Anwendung Bilanzrichtliniengesetz

Der Jahresabschluss wurde nach den Vorschriften des Bilanzricht-liniengesetzes erstellt. Es handelt sich bei vorstehender Gesellschaft um eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Die entsprechenden Erleichterungen bezüglich Aufstellung und Offenlegung des Jahresabschlusses für kleine Kapitalgesellschaften können in Anspruch genommen werden.

2. Angaben zu Bilanzierungs- und Bewertungsmethoden

Die Bewertung der Sachanlagen erfolgte zu Anschaffungskosten, vermindert um angemessene Abschreibungen.
Die Forderungen und sonstigen Vermögensgegenstände des Umlaufvermögens wurden zum Nominalbetrag bilanziert.

Die flüssigen Mittel sind mit dem Kassenbuch und den Bankauszügen zum Bilanzstichtag identisch.

Der Rechnungsabgrenzungsposten der Aktivseite beinhaltet Ausgaben vor dem Bilanzstichtag soweit sie Aufwand für eine bestimmte Zeit nach diesem Tag darstellen. Auf der Passivseite der Rechnungsabgrenzungsposten sind die Einnahmen enthalten, die Umsätze nach dem Bilanzstichtag darstellen.

Das gezeichnete Kapital entspricht dem Nennbetrag.

Die Rückstellungen sind dem Grunde nach berechtigt und in der Höhe bilanziert, die nach vorsichtiger kaufmännischer Beurteilung notwendig ist.

Die Pensionsrückstellungen wurde nach dem Anwartschaftsverfahren (BilMoG/PUC-Methode) bewertet. Der Berechnung wurden die Richttafeln von Dr. Heubeck zugrunde gelegt. Die Abzinsung erfolgte gemäß § 253 Abs. 2 HGB.

Die Verbindlichkeiten sind in Höhe ihres Rückzahlungsbetrages bilanziert.

3. Bilanzvermerk gemäß § 251 HGB

Haftungsverhältnisse gem. § 251 HGB bestehen nicht.
Eventualverbindlichkeiten sind nicht auszuweisen.

B. RECHTLICHE GRUNDLAGEN

Die Firma EM-Software GmbH, Oskar-Messter-Str. 29, 85737 Ismaning, wurde mit notariellem Vertrag vom 03.11.1986 errichtet. Die Eintragung im Handelsregister des Amtsgerichts München erfolgte am 26.11.1986 unter HRB 80271.

Sitz der Gesellschaft ist Ismaning.

Gegenstand der Gesellschaft ist die Organisation auf Herstellung von Computer Software, die Beratung auf diesem Gebiet und der Vertrieb von Software-Objekten.

An dem Stammkapital waren am 31.12.2023 beteiligt:

1. Herr Georg Engl, Wallersdorf mit  92.032,54 €
2. Frau Heidi Lykke, Ismaning mit   61.355,03 €

Geschäftsführer der Gesellschaft ist Herr Engl. Der Geschäftsführer ist von den Beschränkungen des § 181 BGB befreit.

Das Geschäftsjahr ist das Kalenderjahr.

Die Gesellschaft wird beim Finanzamt München für Körperschaften unter der Steuernummer 143/133/60491 veranlagt.

Unter Verzicht auf Form und Fristen beschließen die Gesellschafter der EM-Software GmbH:

1. Der vorgelegte Jahresabschluss 2023 wird genehmigt.
Die Bilanzsumme beträgt 2.103.551,57 €.

2. Dem Geschäftsführer wird Entlastung erteilt.

3. Im Wirtschaftsjahr 2023 wurde ein Gewinn in Höhe von 58.290,03 € erzielt.
