A. GRUNDSäTZE DER BERICHTERSTATTUNG
Die Dalim Software GmbH hat ihren Sitz in Kehl. Sie ist im Handelsregister des Amtsgerichts Freiburg i. Br. unter der Register-Nummer HRB 371620 eingetragen.

Die Aufstellung des Jahresabschlusses erfolgt nach den Vorschriften des HGB und den ergänzenden Vorschriften des GmbHG.

Die Wertangaben im Anhang wurden auf volle EUR gerundet.

Die Gesellschaft macht bezüglich der Anhangangaben von den Befreiungen des § 288 i. V. m. § 267 Abs. 1 HGB Gebrauch.

B. BILANZIERUNGS- UND BEWERTUNGSMETHODEN
Erworbene immaterielle Vermögensgegenstände des Anlagevermögens werden mit ihren Anschaffungskosten angesetzt und planmäßig linear über die voraussichtliche Nutzungsdauer abgeschrieben. Die Nutzungsdauer beträgt grundsätzlich drei Jahre.

Das Sachanlagevermögen ist zu Anschaffungs- oder Herstellungskosten angesetzt. Die abnutzbaren Gegenstände des Sachanlagevermögens werden planmäßig über ihre voraussichtliche Nutzungsdauer abgeschrieben, wobei die beweglichen Anlagegüter linear abgeschrieben werden.

Bei einem unterjährigen Erwerb von Anlagegütern wird die Pro-rata-temporis-Abschreibung mit Bezug auf den Beginn des jeweiligen Zugangsmonats angewendet. Die Nutzungsdauer beträgt bei der EDV-Hardware drei Jahre; das weitere Sachanlagevermögen wird grundsätzlich über einen Zeitraum von fünf Jahren, Immobilien über 50 Jahre, abgeschrieben. Außerplanmäßige Abschreibungen werden vorgenommen, wenn eine Wertminderung voraussichtlich von Dauer ist.

Geringwertige Anlagegegenstände i. S. d. § 6 Abs. 2 EStG mit Anschaffungskosten bis maximal EUR 250,00 werden im Zugangsjahr voll als Betriebsausgaben erfasst. Sie sind in der Entwicklung des Anlagevermögens weder als Zu- noch als Abgänge erfasst.

Zugänge an geringwertigen Anlagengegenständen mit Einzelanschaffungskosten bis EUR 800,00 werden im Jahr des Zugangs in voller Höhe abgeschrieben.

Finanzanlagen werden zu Anschaffungskosten bewertet, gegebenenfalls vermindert um außerplanmäßige Abschreibungen auf den niedrigeren Wert, der ihnen am Abschlussstichtag beizulegen ist.

Forderungen und sonstige Vermögensgegenstände sind grundsätzlich mit dem Nennwert angesetzt. Bei Forderungen aus Lieferungen und Leistungen werden Ausfallrisiken durch angemessene Einzelwertberichtigungen berücksichtigt. Dem allgemeinen Kreditrisiko wird durch angemessene Pauschalwertberichtigungen Rechnung getragen.

Die übrigen Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages gebildet worden, um alle bis zum Abschlussstichtag entstandenen Risiken und ungewissen Verpflichtungen zu erfüllen.

Verbindlichkeiten werden mit ihrem Erfüllungsbetrag angesetzt.

Forderungen und Verbindlichkeiten in Fremdwährung werden mit einem monatseinheitlichen Umrechnungskurs bewertet. Buchverluste oder -gewinne bei kurzfristigen Fremdwährungsposten aus Wechselkursänderungen zum Abschlussstichtag werden auf der Grundlage des Devisenkassamittelkurses ermittelt und ergebniswirksam berücksichtigt.

C. ERLäUTERUNGEN ZUM JAHRESABSCHLUSS
Eigenkapital
Der Teil der Anschaffungskosten der eigenen Anteile, der den Nennbetrag der Geschäftsanteile in Höhe von EUR 8.192 überstieg, wurde mit dem Gewinnvortrag verrechnet.

Verbindlichkeiten
Die Verbindlichkeiten haben folgende Restlaufzeiten:

< 1 Jahr: EUR 468.866 (Vj. EUR 220.345)
> 1 Jahr: EUR 240.052 (Vj. EUR 0)

In Bezug auf die Verbindlichkeiten aus Lieferungen und Leistungen bestehen im branchenüblichen Maße Eigentumsvorbehalte.

D. SONSTIGE ANGABEN
Die Gesamtzahl der durchschnittlich beschäftigten Arbeitnehmer im Geschäftsjahr 2024 beträgt 49.

Die Geschäftsführung schlägt vor, den Bilanzgewinn in Höhe von EUR 835.816,96 auf neue Rechnung vorzutragen.

Geschäftsführer im Geschäftsjahr 2024 war der Chief Executive Officer der Gesellschaft, Herr Dr. Carol Werlé, Stutzheim-Offenheim/Frankreich.

Die Gesellschaft hat einen freiwilligen Aufsichtsrat eingerichtet, auf den § 52 GmbHG nicht anzuwenden ist. Mitglieder des Aufsichtsrats waren folgende Personen:
