Anhang für das Geschäftsjahr 2023

north.io GmbH, Kiel

A. Allgemeine Angaben zum Unternehmen

Die north.io GmbH hat ihren Sitz in Kiel. Sie ist im Handelsregister des Amtsgerichts Kiel unter HRB 21314 KI eingetragen.

Mit Vertrag vom 03. August 2023 ist die NatureConnect GmbH, HRB 21855 KI, rückwirkend auf den 01. Januar 2023 auf die TrueOcean GmbH verschmolzen, zuvor ist die north.io GmbH, HRB 23538 KI, auf die NatureConnect GmbH verschmolzen. Nach der Verschmelzung wurde die TrueOcean GmbH in north.io GmbH umfirmiert.

B. Rechnungslegungsgrundsätze

Der Jahresabschluss wurde nach den Vorschriften des Bilanzrichtlinieumsetzungsgesetzes (BilRUG) erstellt.

Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren aufgestellt.

Die immateriellen Vermögensgegenstände in Entwicklung sind mit den angefallenen Herstellungskosten gekürzt um erhaltene Zuschüsse angesetzt.

Die entgeltlich erworbenen immateriellen Vermögensgegenstände sind zu den Anschaffungskosten vermindert um planmäßige kumulierte Abschreibungen bewertet. Die Abschreibungen werden linear über die betriebsgewöhnliche Nutzungsdauer vorgenommen.

Die selbst geschaffenen immateriellen Vermögensgegenstände sowie die Sachanlagen sind mit den aktivierungspflichtigen Anschaffungs-/Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Finanzanlagen sind zu Anschaffungskosten bzw. dem niedrigeren beizulegenden Wert bewertet.

Forderungen und Sonstige Vermögensgegenstände werden zu Nennwerten angesetzt. Alle erkennbaren Einzelrisiken werden bei der Bewertung berücksichtigt.

Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen und sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages bewertet. Zukünftige Preis- und Kostensteigerungen werden berücksichtigt, sofern ausreichend objektive Hinweise für deren Eintritt vorliegen.

Die Verbindlichkeiten werden zum Erfüllungsbetrag bilanziert.

C. Erläuterungen zur Bilanz

1. Forderungen und sonstige Vermögensgegenstände

Sämtliche Forderungen und sonstige Vermögensgegenstände haben eine Restlaufzeit von bis zu einem Jahr.

2. Rechnungsabgrenzungsposten

Die Rechnungsabgrenzungsposten beinhalten ein Disagio in Höhe von EUR 559,29 (Vj. EUR 1.077,27) sowie Bearbeitungs- und Abwicklungsgebühren für Darlehen in Höhe von EUR 6.130,50 (Vj. EUR 6.196,50).

3. Einlage stiller Gesellschafter

Die Gesellschaft hat folgende stille Beteiligungen:

- MBG Mittelständische Beteiligungsgesellschaft Schleswig-Holstein mbH mit einer Laufzeit von 10 Jahren bis zum 30.06.2030 in Höhe von EUR 300.000,00. Die Festvergütung beträgt 7,5 % der Einlage p.a., die variable Vergütung beträgt höchstens 1,75 % der Einlage p.a. und berechnet sich aus 50 % des positiven korrigierten Jahresergebnisses. Der Differenzbetrag zum Gewinnhöchstbetrag ist als Fehlbetrag einzustellen. Ein nicht ausgeglichener Fehlbetrag aus dem Vorjahr verfällt.
- Possehl Mittelstandsbeteiligungen GmbH mit einer unbestimmten Laufzeit in Höhe von EUR 1.500.000,00. Die Festvergütung beträgt 2,0 % der Einlage p.a., die variable Vergütung beträgt höchstens 1,0 % der Einlage p.a. und berechnet sich aus 50 % des positiven korrigierten Jahresergebnisses. Der Differenzbetrag zum Gewinnhöchstbetrag ist als Fehlbetrag einzustellen. Ein nicht ausgeglichener Fehlbetrag aus dem Vorjahr verfällt.
- Possehl Mittelstandsbeteiligungen GmbH mit einer unbestimmten Laufzeit in Höhe von EUR 500.000,00. Die Festvergütung beträgt 6,0 % der Einlage p.a., die variable Vergütung beträgt höchstens 5,0 % der Einlage p.a. und berechnet sich aus 50 % des positiven korrigierten Jahresergebnisses. Der Differenzbetrag zum Gewinnhöchstbetrag ist als Fehlbetrag einzustellen. Ein nicht ausgeglichener Fehlbetrag aus dem Vorjahr verfällt.

Für alle stillen Beteiligungen wurde ein Rangrücktritt gemäß §328 BGB vereinbart. Im Insolvenzfall stehen die Zahlungsansprüche der stillen Gesellschafter im Range des § 39 Absatz 2 InsO. Im Verhältnis zu etwaigen Forderungen der Gesellschafter, die auf gleicher Rangstelle stehen, gehen die Ansprüche der stillen Gesellschafter vor.

4. Rückstellungen
Die sonstigen Rückstellungen beinhalten Rückstellungen für stille Beteiligungen (TEUR 33) sowie für Personalkosten (TEUR 273).

Die Verbindlichkeiten gegenüber Kreditinstituten sind besichert durch eine 70-prozentige Ausfallbürgschaft der Bürgschaftsbank Schleswig-Holstein GmbH sowie durch selbstschuldnerische Bürgschaften der Gesellschafter und Abtretungen der Rechte und Ansprüche aus Risiko-Lebensversicherungen der Gesellschafter.

In den sonstigen Verbindlichkeiten sind Verbindlichkeiten aus Steuern in Höhe von EUR 252.968,15 (Vj. EUR 19.701,39) sowie aus sozialer Sicherheit in Höhe von EUR 1.081,36 (Vj. EUR 3.375,68) ausgewiesen.

D. Sonstige Angaben

1. Personal
Während des Geschäftsjahrs wurden im Durchschnitt 65 Arbeitnehmer beschäftigt.

2. Organe der Gesellschaft

Geschäftsführer sind:

- Frithjof Hennemann, Kaufmann, Kiel
- Jann Wendt, Kaufmann, Westensee (seit dem 01. September 2023)

Der Geschäftsführer ist einzelvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit.

E. Ergebnisverwendung

Der Jahresfehlbetrag in Höhe von EUR 1.751.581,72 wird dem Verlustvortrag zugeführt.
