Anhang
für das Geschäftsjahr 2024

I. Allgemeines

Die Gesellschaft hat ihren Sitz in Köln und ist im Handelsregister des Amtsgerichts Köln unter der Nummer HRB 78826 erfasst.

Die Gesellschaft ist eine kleine Kapitalgesellschaft i.S.d. § 267 Abs. 1 HGB. Von den Erleichterungsvorschriften für Aufstellung und Offenlegung der §§ 266 Abs. 1, 274a, 276, 288 Abs. 1 und 326 HGB macht die Gesellschaft teilweise Gebrauch.

II. Bilanzierungs- und Bewertungsgrundsätze

Die Gliederung von Bilanz und Gewinn- und Verlustrechnung erfolgt gemäß § 266 und § 275 HGB.

ImmaterielleVermögensgegenstände werden zu Anschaffungskosten, vermindert um planmäßige Abschreibungen, angesetzt. Als Nutzungsdauer werden drei bis fünf Jahre zu Grunde gelegt.

Das Sachanlagevermögen wird zu Anschaffungs- oder Herstellungskosten, vermindert um planmäßige, lineare Abschreibungen entsprechend der branchenüblichen Nutzungsdauer angesetzt.

Bewegliche abnutzbare Vermögensgegenstände bis EUR 800,00, die selbständig genutzt werden können, werden aufwandswirksam erfasst.

Die Waren sind zu den Anschaffungskosten bzw. zum niedrigeren beizulegenden Wert auf den Stichtag angesetzt.

Die Forderungen und sonstigenVermögensgegenstände werden zum Nennwert bewertet. Allen erkennbaren Risiken wurde durch Wertberichtigungen Rechnung getragen.

Die liquidenMittel werden zum Nennwert angesetzt.

Die Rechnungsabgrenzungsposten enthalten Zahlungen, die Aufwand oder Ertrag für einen bestimmten Zeitraum nach dem Bilanzstichtag darstellen.

Die Rückstellungen berücksichtigen nach vernünftiger kaufmännischer Beurteilung alle erkennbaren Risiken und ungewisse Verbindlichkeiten.

Verbindlichkeiten werden mit ihrem Erfüllungsbetrag angesetzt.

Die Bilanzierungs- und Bewertungsgrundsätze blieben gegenüber dem Vorjahr unverändert.

III. Erläuterungen zur Bilanz

Die Entwicklung des Anlagevermögens im Geschäftsjahr 2023/2024 ist nachfolgend in der Anlage 4 zu diesem Bericht dargestellt.

Die Verbindlichkeiten haben eine Restlaufzeit von weniger als einem Jahr.

Von den Verbindlichkeiten gegenüber verbundenen Unternehmen bestehen EUR 2.940.122,33 (Vj.: EUR 2.173.201,34) gegenüber Gesellschaftern.

IV. Erläuterungen zur Gewinn- und Verlustrechnung

Die Gewinn- und Verlustrechnung wurde in Form des Gesamtkostenverfahrens aufgestellt.

V. Sonstige Angaben

Die Gesellschaft wird in den Konzernabschluss der ACP Group AG, Wien/Österreich, einbezogen. Der Konzernabschluss der Konzernobergesellschaft ACP Group AG, Wien/Österreich, wird am Sitz der Konzernobergesellschaft veröffentlicht.

Die Gesellschaft weist zum Abschlussstichtag einen "Nicht durch Eigenkapital gedeckten Fehlbetrag" in Höhe von EUR 831.639,66 aus.

Die buchmäßige Überschuldung stellt aufgrund des Ergebnisabführungsvertrags vom 17.03.2017 mit der ACP Holding Deutschland GmbH, München, als beherrschender Gesellschaft keine bestandsgefährdende Tatsache dar.

Der Ergebnisabführungsvertrag aus dem Geschäftsjahr 2016/2017 mit der ACP Holding Deutschland GmbH wurde mit Wirkung zum 31.3.2024 gekündigt.

Im Geschäftsjahr 2023/2024 waren im Durchschnitt 26 (Vj. 24) Personen beschäftigt.

Zur Geschäftsführung ist Herr Markus Brungs berufen.
