Anhang

Allgemeine Angaben zum Jahresabschluss

Der vorliegende Jahresabschluss der Aleri Solutions GmbH, Köln, wurde auf Grundlage der Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches in der Fassung des BilMoG sowie nach den einschlägigen Vorschriften des GmbHG und des Gesellschaftsvertrages aufgestellt. Vereinfachungen für kleine Kapitalgesellschaften wurden in Anspruch genommen.

Bei der Aufstellung des Jahresabschlusses, bestehend aus Bilanz, Gewinn- und Verlustrechnung und Anhang, wurden erstmals die Regelungen des Bilanzrichtlinie- Umsetzungsgesetz (BilRuG) angewandt.

Angaben zu Bilanzierungs- und Bewertungsmethoden

Bilanzierungs- und Bewertungsgrundsätze

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und, sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von Euro 800,00 wurden im Jahre des Zugangs voll abgeschrieben.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Forderungen wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt. Sie wurden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt. Haben die Rückstellung eine Restlaufzeit von mehr als einem Jahr, ist eine Abzinsung vorzunehmen.

Verbindlichkeiten wurden zum Rückzahlungsbetrag bilanziert.

Angaben zur Vermittlung eines besseren Einblicks in die Vermögens-, Finanz- und Ertragslage

Die nachfolgenden, zusätzlichen Angaben sind bei der Beurteilung der wirtschaftlichen Lage zu beachten:

Bei einem Bilanzverlust in Höhe von Euro -3.586.982,87 ist die Gesellschaft nominell mit Euro 3.529.482,87 überschuldet.

Rangrücktritt:

Im Zusammenhang mit der Forderung der Gesellschafterin Cassini AG gegenüber der Gesellschaft hat diese den Rangrücktritt in Höhe von Euro 2.800.000,00 erklärt.

Die Geschäftsführung hat eine positive Fortführungsprognose erstellt und geht davon aus, dass in den nächsten Jahren Gewinne erzielt werden, die ausreichend hoch sind, um den nicht durch Eigenkapital gedeckten Fehlbetrag auszugleichen.

Aufgrund der wirtschaftlichen Situation hat bei der Aleri Solutions GmbH eine vollständige Neuausrichtung stattgefunden. Ein Geschäftsbereich ist im Rahmen eines Asset Deals an die Cassini Consulting AG verkauft worden. Ein defizitärer Geschäftsbereich ist eingestellt worden und die diesem Geschäftsbereich zugeordneten Mitarbeitenden sind mit arbeitsrechtlichen Vereinbarungen abgegolten worden. Die verbleibenden Mitarbeitenden fokussieren sich auf den Geschäftsbereich "Digital Experts". Für dieses neue Geschäftsmodell hat die Geschäftsführung eine positive Fortführungsprognose erstellt.

Angabe zu Restlaufzeitvermerken

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr beträgt 3.685.362,11 EUR (Vorjahr: 3.483.509,72 EUR).

Nicht in der Bilanz erscheinende Geschäfte

Neben den in der Bilanz ausgewiesenen Transaktionen sind weiterhin folgende Geschäfte aufzuzeigen:

Es bestehen sonstige finanzielle Verpflichtungen aus Miet- bzw. Pachtverträgen über Büro- und Geschäftsräume sowie KFZ Stellplätze. Die Verpflichtungen aus diesen Mietverträgen beliefen sich im Berichtsjahr auf Euro 6.240,00. Die Gesamtverpflichtungen aus diesen Verträgen betragen für künftige Zeiträume zum Bilanzstichtag Euro 0,00.

Des Weiteren bestanden im Berichtsjahr sonstige finanzielle Verpflichtungen aufgrund bestehender Leasingverträge über Software, Kraftfahrzeuge sowie übriger Betriebs- und Geschäftsausstattung in Höhe von insgesamt Euro 662.036,62.

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 63.

Die Aleri Solutions GmbH wurde in den Konzernabschluss der Cassini Holding UG (haftungsbeschränkt) & Co. KG einbezogen.
