A. Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss wird nach den Regelungen des Handelsgesetzbuches i.d.F. des Bilanzrichtlinie-Umsetzungsgesetzes aufgestellt.

Angaben zur Identifikation der Gesellschaft:

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf.

Die Gliederung der Bilanz erfolgt nach § 266 Abs.1 und 2 HGB, die Gliederung der Gewinn- und Verlustrechnung nach § 275 Abs. 1 und 2 HGB; wie im Vorjahr wurde die Gewinn- und Verlustrechnung nach dem Gesamtkostenverfahren aufgestellt.

Soweit für Pflichtangaben ein Wahlrecht besteht, diese in der Bilanz oder der Gewinn- und Verlustrechnung oder im Anhang darzustellen, werden sie im Anhang dargestellt.

B. Erläuterungen zu Bilanzierungs- und Bewertungsmethoden

Im Einzelnen wurden folgende Bilanzierungs- und Bewertungsmethoden stetig angewendet:

Die immateriellen Vermögensgegenstände und das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten vermindert um planmäßige Abschreibung angesetzt. Die Aktivierungsmöglichkeit der Forschungs- und Entwicklungskosten gem. § 248 Abs. 2 HGB wurde in Anspruch genommen.

Abnutzbare bewegliche Vermögensgegenstände im Anschaffungswert von 250,01 € bis 800,00 €, die einer selbständiger Nutzung fähig sind, wurden sofort abgeschrieben.

Waren werden grundsätzlich zu Anschaffungskosten unter Beachtung des strengen Niederstwertprinzips bewertet.
Die unfertigen Erzeugnisse sowie unfertigen Leistungen wurden zu Herstellungskosten (Material- und Fertigungskosten, jeweils mit Gemeinkosten) bewertet. Der Grundsatz der verlustfreien Bewertung wurde beachtet.

Der Ansatz der geleisteten Anzahlungen erfolgt mit dem Nennbetrag (ohne Umsatzsteuer).

Die Forderungen und sonstigen Vermögensgegenstände wurden zu Nominalwerten abzüglich angemessener Wertberichtigungen angesetzt.

Die liquiden Mittel wurden mit dem Nennwert angesetzt.

Rückstellungen wurden für alle erkennbaren Risiken gebildet. Sie wurden in Höhe des Erfüllungsbetrages angesetzt, der nach vorsichtiger kaufmännischer Beurteilung notwendig ist.

Verbindlichkeitensind zum Erfüllungsbetrag passiviert.

Rechnungsabgrenzungsposten sind für Aufwendungen und Erträge der folgenden Geschäftsjahre gebildet worden.

C. Angaben zur Bilanz

Der Betrag der aktivierten selbst geschaffenen immateriellen Vermögensgegenstände des Anlagevermögens in Höhe von 229.064,00 € unterliegt gem. § 268 Abs. 8 HGB einer Ausschüttungssperre.

Die Forderungen gegen verbundene Unternehmen betreffen in Höhe von 1.428.871,01 € (Vorjahr 750.222,48 €) Forderungen gegen Gesellschafter.

Die sonstigen Vermögensgegenstände beinhalten Forderungen für Kautionen in Höhe von 18.892,45 € (Vorjahr: 18.892,45 €) mit einer Restlaufzeit von mehr einem Jahr.

Sämtliche Verbindlichkeiten haben wie im Vorjahr eine Restlaufzeit von weniger als einem Jahr.

D. Abschlussvermerke und sonstige Angaben

Im Geschäftsjahr 2023 wurde durchschnittlich 22 Mitarbeiter beschäftigt.

Es besteht ein Gewinnabführungsvertrag mit dem Mutterunternehmen blueworld Erwerbs GmbH mit Sitz in Köln.

Die sonstigen finanziellen Verpflichtungen aus Miet- und Leasingverträgen betragen 93.246 €. Neben den dargelegten sonstigen finanziellen Verpflichtungen existieren keine außerbilanziellen Geschäfte, die für die Finanzlage der Gesellschaft von Bedeutung wären.

Die Geschäftsführung erfolgte im Geschäftsjahr durch

Herrn Dr. Lasse Björn Wirz, Herrn Stefan Elspaß und Herrn Dr. Daniel Catrein, Köln.

Sie sind alleinvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit.
