1. Allgemeine Angaben zum Jahresabschluss

Die EMCEL GmbH hat ihren Sitz in Köln und ist im Handelsregister des Amtsgerichts Köln unter HRB 74659 eingetragen.

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf.

Der vorliegende Jahresabschluss ist grundsätzlich unter Beibehaltung der für den Vorjahresabschluss angewendeten Gliederungsgrundsätzen nach den für kleine Kapitalgesellschaften geltenden Vorschriften des Handelsgesetzbuches aufgestellt (§§ 265 Abs. 1, 266 ff. HGB).

2.Bilanzierungs- und Bewertungsmethoden

Bilanzierungs- und Bewertungsgrundsätze

Die Bilanzierung der immateriellen Vermögensgegenstände und der Sachanlagen erfolgte zu Anschaffungs- oder Herstellungskosten unter Berücksichtigung nutzungsbedingter planmäßiger Abschreibungen. Grundlage der planmäßigen Abschreibung ist die voraussichtliche Nutzungsdauer des jeweiligen Vermögensgegenstandes (§ 253 Abs. 1 Satz 1, Abs. 3 HGB). Bei den immateriellen Vermögensgegenständen erfolgte die Abschreibung linear. Die Zugänge der beweglichen Anlagegüter wurden auch linear abgeschrieben.

Geringwertige Wirtschaftsgüter im Sinne von § 6 Abs. 2 EStG wurden im Jahr des Zugangs in voller Höhe als Betriebsausgaben abgesetzt.

Die Finanzanlagen wurden zu Anschaffungskosten (§ 253 Abs. 1 Satz 1 HGB) oder mit dem am Abschlussstichtag beizulegenden niedrigeren Wert angesetzt.

Bei den Vorräten erfolgte die Aktivierung zu Anschaffungs- und Herstellungskosten. Notwendige Abwertungen aufgrund des Niederstwertprinzips wurden - soweit erforderlich - vorgenommen.

Forderungen und sonstige Vermögensgegenstände wurden zum Nominalwert angesetzt. Notwendige Wertberichtigungen wurden vorgenommen, soweit die Forderungen bzw. sonstigen Vermögensgegenstände zweifelhaft oder uneinbringlich waren.

Flüssige Mittel wurden zu Nominalwerten angesetzt (§ 253 Abs. 1 HGB).

Die sonstigen Rückstellungen erfassen alle erkennbaren Risikenund ungewisse Verbindlichkeiten und wurden mit dem Erfüllungsbetrag bewertet, der nach vernünftiger kaufmännischer Beurteilung notwendig ist (§ 253 Abs. 1 Satz 2 HGB). Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr wurden mit dem ihrer Restlaufzeit entsprechenden durchschnittlichen Marktzinssatz der vergangenen sieben Geschäftsjahre abgezinst (§ 253 Abs. 2 Satz 1 HGB).

Verbindlichkeiten wurden mit ihrem Erfüllungsbetrag bilanziert (§ 253 Abs. 1 Satz 2 HGB).

Die Rechnungsabgrenzungsposten wurden nach Maßgabe des § 250 HGB angesetzt.

3.Angaben zur Bilanz

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr beträgt € 383.346,00 (Vorjahr: € 279.343,49).

Neben den in der Bilanz ausgewiesenen Verbindlichkeiten bestehen in Höhe von T€ 123 sonstige finanzielle Verpflichtungen aus Miet- und Leasingverträgen.

4.Angaben zur Gewinn- und Verlustrechnung

Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren (§ 275 Abs. 2 HGB) aufgestellt.

5.Sonstige Angaben

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 15.
