I. Allgemeine Angaben

Der vorliegende Jahresabschluss für das Geschäftsjahr 2019/2020 zum 1. Oktober 2019 wurde nach den für Kapitalgesellschaften geltenden Rechnungslegungsvorschriften der §§ 238 ff. Handelsgesetzbuch aufgestellt.

Für die Gewinn- und Verlustrechnung wurde - wie im Vorjahr - das Gesamtkostenverfahren gewählt.

II. Bilanzierungs- und Bewertungsvorschriften

Das Sachanlagevermögen ist zu Anschaffungskosten unter Berücksichtigung planmäßiger Abschreibungen bewertet. Die beweglichen Anlagegüter werden nach Maßgabe der jeweils kürzesten für zulässig gehaltenen Nutzungsdauer linear abgeschrieben.

Die Forderungen und sonstige Vermögensgegenstände sind zum Nennwert bewertet.

Die übrigen Rückstellungen sind so bemessen, dass sie allen erkennbaren Risiken Rechnung tragen.

III. Bilanzerläuterungen

1. Anlagevermögen

Die Entwicklung der einzelnen Posten des Anlagevermögens ist in einer gesonderten Anlage dargestellt.

Bei allen Anlagegütern wurden die gesamten Anschaffungs- und Herstellungskosten als ursprüngliche Anschaffungs- und Herstellungskosten übernommen.

2. Verbindlichkeiten gegenüber Gesellschaftern

Die Gesellschaft weist zum 01.10.2019 gegenüber den Eheleuten Fisher Verbindlichkeiten in Höhe von insgesamt EUR 431.200,00 (Vorjahr: 415.200,00) und gegenüber Frau Fisher in Höhe von insgesamt EUR 423.166,05 (Vorjahr: 279.166,05) aus.

3. Gezeichnetes Kapital

Das im Handelsregister verzeichnete Stammkapital lautet auf DM 100.000,00. In der Bilanz wurde das gezeichnete Kapital mit dem umgerechneten Betrag in Höhe von EUR 51.129,19 ausgewiesen.

4. Ergänzende Angaben

Die Gesellschaft weist zum 01.10.2019 einen nicht durch Eigenkapital gedeckten Fehlbetrag in Höhe von EUR 1.237.740,10 aus und ist somit buchmäßig überschuldet. Die Gesellschafter, Frau Constanze Fisher und Herr John Fisher, haben betreffend ihnen zustehender Forderungen in Höhe von EUR 300.000,00 gegenüber der Gesellschaft den Rangrücktritt erklärt. Die Gesellschafterin, Frau Constanze Fisher, hat betreffend der ihr bestehenden Forderung gegenüber der Gesellschaft in Höhe von EUR 255.000,00 den Rangrücktritt erklärt. Darüber hinaus weist die Zweigniederlassung Wien, die in diesem Jahresabschluss nicht enthalten ist zum 30.09.2019 ein Eigenkapital in Höhe von EUR 321.624,44 aus.
