Anhang

Allgemeine Angaben

Der Jahresabschluss der VLEXsoftware gmbh, Kulmbach (Amtsgericht Bayreuth, HRB 4932), zum 31. Dezember 2023 ist nach den Vorschriften des Handelsgesetzbuches für kleine Kapitalgesellschaften und des GmbH-Gesetzes aufgestellt worden.

Die gesetzlichen Gliederungsschemen nach den § 266 HGB sowie § 42 GmbHG wurden angewandt.

Bilanzierungs- und Bewertungsmethoden

Die Bewertung der immateriellen Vermögensgegenstände und des Sachanlagevermögens erfolgte zu Anschaffungs- und Herstellungskosten abzüglich planmäßiger Abschreibungen.

Der aktivierte Firmenwert wird unter Berücksichtigung der voraussichtlichen Bestandsdauer der wesentlichen Werttreiber der verschmolzenen Unternehmen auf fünfzehn Jahre linear abgeschrieben.

Die unfertigen Leistungen und fertigen Erzeugnisse wurden mit den Herstellungskosten bzw. den niedrigeren beizulegenden Werten am Bilanzstichtag bewertet.

Der Bestand an Roh-, Hilfs- und Betriebsstoffen und Waren ist zu Anschaffungskosten zuzüglich Anschaffungsnebenkosten bewertet, Anschaffungskostenminderungen sind abgesetzt.

Die Forderungen aus Lieferungen und Leistungen sind zu Nominalbeträgen abzüglich angemessener Einzel- und Pauschalwertberichtigungen bewertet. Pauschalwertberichtigungen wurden mit 1 % des um die einzelwertberichtigten Forderungen gekürzten Nettoforderungsbestands aus Lieferungen und Leistungen angesetzt.

Die übrigen Forderungen und sonstigen Vermögensgegenstände sind zum Nennwert angesetzt.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten in ausreichender Höhe und sind mit dem Erfüllungsbetrag bewertet, der nach vernünftiger kaufmännischer Beurteilung notwendig ist.

Verpflichtungen aus Arbeitszeitkonten sind durch Rückdeckungsversicherungen gesichert. Diese dienen ausschließlich der Erfüllung der Verpflichtungen aus den Arbeitszeitkonten und sind dem Zugriff übriger Gläubiger entzogen. Sie wurden nach § 246 Abs. 2 Satz 2 HGB mit den zugrunde liegenden Verpflichtungen verrechnet.
Der beizulegende Zeitwert der Rückdeckungsversicherungsansprüche entspricht den fortgeführten Anschaffungskosten (Deckungskapital zuzüglich Überschussbeteiligung) gemäß den Mitteilungen des Versicherers.

Die Verbindlichkeiten sind mit dem Erfüllungsbetrag angesetzt.

Die Rechnungsabgrenzungsposten betreffen Aus- bzw. Einzahlungen, die Aufwand bzw. Ertrag nach dem Bilanzstichtag darstellen.

Angaben zur Bilanz

In den Forderungen und sonstigen Vermögensgegenständen sind Forderungen gegen Gesellschafter in Höhe von 67.625,39 Euro (Vj. 364.049,79 Euro) enthalten.

Im Bilanzgewinn ist ein Gewinnvortrag aus dem Vorjahr in Höhe von 886.407,77 Euro enthalten.

In den Rückstellungen werden u.a. Verpflichtungen aus Lebensarbeitszeitkonten - nach § 246 Abs. 2 S. 2 HGB saldiert mit den zu ihrer Absicherung abgeschlossenen und verpfändeten Rangrücktrittsversicherungen - ausgewiesen. Der von der Versicherungsgesellschaft mitgeteilte beizulegende Zeitwert der Rückdeckungsversicherungen beträgt 74.209,60 Euro (Vj. 0,00 Euro), der unsaldierte Erfüllungsbetrag der Verpflichtungen aus Lebensarbeitszeitkonten beträgt insgesamt 76.293,77 Euro (Vj. 0,00 Euro).

In den Verbindlichkeiten sind in Höhe von 1.499,70 Euro (Vj. 67.347,46 Euro) Verbindlichkeiten gegenüber Gesellschaftern enthalten.

Im Jahresdurchschnitt beschäftigte die Gesellschaft (exklusive der gesetzlichen Vertreter) rd. 50 Arbeitnehmer.

sonstige finanzielle Verpflichtungen
Die sonstigen finanziellen Verpflichtungen, die nicht in der Bilanz erscheinen, belaufen sich am Bilanzstichtag auf 532 TEuro und entfallen auf Büromieten sowie auf Leasingverträge für bewegliche Wirtschaftsgüter (Kfz, etc.).
