Anhang

1. Bilanzierung - und Bewertungsgrundsätze

Der Jahresabschluss zum 31. Dezember 2013 wurde unter Anwendung der Vorschriften des Dritten Buchs des HGB für kleine Kapitalgesellschaften sowie unter Anwendung der relevanten Vorschriften des GmbH-Gesetzes aufgestellt.

Die Gliederung der Bilanz und der Gewinn- und Verlustrechnung entspricht den §§ 265 bis 278 HGB. Für die Gewinn- und Verlustrechnung wird das Gesamtkostenverfahren angewendet. Das Prinzip der Darstellungsstetigkeit wurde beachtet.

Die Bilanzierung und Bewertung erfolgt unter Beachtung der generellen Bewertungsvorschriften der §§ 252 bis 256 HGB und der für Kapitalgesellschaften geltenden besonderen Ansatz- und Bewertungsbestimmungen der §§ 269 bis 274 HGB sowie §§ 279 bis 283 HGB. Die Bilanzierungs- und Bewertungsmethoden wurden unverändert gegenüber dem Vorjahr beibehalten und entsprechen dem Grundsatz der Unternehmensfortführung, dem Vorsichts- und Realisationsprinzip sowie den Grundsätzen der Bewertungsstetigkeit, Einzelbewertung und Periodenabgrenzung.

2. Erläuterungen zur Bilanz

Bei Bewertung der Forderungen wird eine Pauschalwertberichtigung in Höhe von 3 % zum Nennwert der Forderungen gebildet.

Das als gezeichnetes Kapital zum Nominalbetrag ausgewiesene Stammkapital der Gesellschaft beträgt € 50.000,00.

Das negative Eigenkapital resultiert aus Verlusten, die für Entwicklungsarbeiten für Soft-ware entstanden sind und in der Vergangenheit nicht aktiviert werden konnten.

Der Gesellschafter Ralf Adolph, Walsroder Str. 78, 30583 Langenhagen, hat gegen die Engineering Data GmbH CAD Software Service zum Bilanzstichtag 31.12.2013 Forderungen aus Gesellschafter-Darlehen in Höhe von € 220.034,48.

Der Gesellschafter hat den Rangrücktritt in der Weise schriftlich erklärt, dass er für seine Forderungen nur dann Befriedigung verlangen kann, wenn diese aus einem Bilanzgewinn, einem Liquiditätsüberschuss oder aus weiteren, die sonstigen Verbind-lichkeiten der Gesellschaft übersteigendem Vermögen der Gesellschaft beglichen werden können.

Der Geschäftsführer schlägt vor, das Jahresergebnis des Geschäftsjahres 2013 in vollem Umfang auf neue Rechnung vorzutragen.
