I. Erläuterungen zum Jahresabschluss

1. Allgemeine Erläuterungen

Die Gesellschaft wurde mit notarieller Urkunde vom 16. November 1991 gegründet. Die Eintragung im Handelsregister erfolgte am 25. November 1991. Am 09. Juni 1999 erfolgte eine Änderung der Satzung, die am 17. Juni 1999 in das Handelsregister eingetragen wurde.

Der vorliegende Jahresabschluss zum 31. Dezember 2023 wurde nach den Vorschriften des 3. Buches des HGB aufgestellt. Die ergänzenden Vorschriften für Kapitalgesellschaften nach §§ 264 ff. HGB wurden beachtet.

Die Network Concept GmbH ist gem. § 267 HGB eine kleine Kapitalgesellschaft.

2. Bilanzierungs- und Bewertungsmethoden

Die immateriellen Vermögensgegenstände und die Sachanlagen werden zu Anschaffungskosten, vermindert um lineare Abschreibungen, bilanziert.

Bei den Finanzanlagen werden Zuschreibungen vorgenommen.

Die Forderungen und sonstigen Vermögensgegenstände werden grundsätzlich mit den Nennbeträgen bilanziert. Erkennbare Ausfallrisiken sind in diesem Wirtschaftsjahr nicht zu berücksichtigen.

Die flüssigen Mittel werden zu Nennbeträgen bilanziert.

Die aktiven Rechnungsabgrenzungsposten beinhalten Aufwendungen für eine bestimmte Zeit nach dem Bilanzstichtag.

Die Rückstellungen werden in Höhe des Erfüllungsbetrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist.

Die Verbindlichkeiten werden mit den Erfüllungsbeträgen ausgewiesen.

3. Erläuterungen zur Bilanz

Das Vorratsvermögen wurde entsprechend dem Niederstwertprinzig bewertet.

Die Rückstellungsberechnung der Pensionen erfolgt nach der Projected Unit Credit Methode (PUC-Methode) unter Anwendung der Richttafeln 2018 G von Klaus Heubeck ohne Renten- und Gehaltstrend und einem Rechnungszins von 1,74 % zum 31.12.2023. Die Rückstellung zum 31.12.2023 in Höhe von Euro 407.929,00 wurde mit dem Aktivwert der bestehenden Rückdeckungsversicherung bei der Allianz Lebensversicherungs-AG in Höhe von Euro 118.857,24 verrechnet. Das Depot bei Union Invest in Höhe von Euro 301.473,61 ist nicht zu verrechnen.

II. Nicht aus der Bilanz ersichtliche Haftungsverhältnisse und sonstige finanzielle Verpflichtungen

· Gesamtbetrag der Leasingverpflichtungen in Höhe von TEuro 90
· Gesamtbetrag der Mietverpflichtungen mit der unkündbaren Restlaufzeitl jährlich in Höhe von 70 TEuro

In Höhe des Differenzbetrages zwischen dem Erfüllungsbetrag der Pensionsrückstellung bei einem Rechnungszins von 1,74% (durchschnittlicher Marktzins der vergangenen sieben Geschäftsjahre ) und dem handelsrechtlichen Erfüllungsbetrag in Höhe von Euro 407.929,00 ergibt sich eine Ausschüttungssperre in Höhe von Euro 9.173,00,

III. Sonstige Angaben

Der Geschäftsführer schlägt vor, den Jahresüberschuss in Höhe von Euro 423.293,98 zusammen mit dem Gewinnvortrag in Höhe von Euro 42.054,25 auf neue Rechnung vorzutragen.
