Angaben zu den Bilanzierungs- und Bewertungsmethoden

Maßgebende Rechnungslegungsvorschriften

Der Jahresabschluss wurde nach den Vorschriften des Handelsgesetzbuches (HGB) aufgestellt. Dabei wurden die Erleichterungsvorschriften gemäß § 264 Abs. 1 Satz 4 HGB für kleine Kapitalgesellschaften in Anspruch genommen.

Forderungen und sonstige Vermögensgegenstände

Die Forderungen und die sonstigen Vermögensgegenstände wurden mit den Anschaffungskosten ausgewiesen.

Guthaben bei Kreditinstituten

Laufende Guthaben bei Kreditinstituten wurden mit dem Nominalbetrag angesetzt.

Rückstellungen

Rückstellungen wurden nach § 253 Abs. 1 Satz 2 HGB in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt und, falls die Laufzeiten mehr als ein Jahr betrugen, gemäß § 253 Abs. 2 HGB mit dem der Restlaufzeit entsprechenden durchschnittlichen Marktzinssatz der vergangenen sieben Jahre abgezinst.

Verbindlichkeiten

Die Verbindlichkeiten wurden mit den Erfüllungsbeträgen bewertet.

Sonstige Angaben

Mutterunternehmen

Alleiniger Gesellschafter der INTER Service GmbH ist der INTER Versicherungsverein aG (INTER Verein) mit Sitz in Mannheim.

Angaben zu den Geschäften mit nahestehenden Unternehmen und Personen

Zu den nahestehenden Unternehmen zählen die mit dem INTER Verein verbundenen Unterneh- men sowie die Freie Arzt und Medizinkasse VVaG, die mit dem INTER Verein einen Gleichord- nungskonzern im Sinne des § 18 Abs. 2 AktG bildet.

Zu den nahestehenden Personen gehören die Mitglieder der Geschäftsführung sowie die nahen Familienangehörigen.

Zwischen den nahestehenden Unternehmen bestehen ein Organisationsgemeinschaftsvertrag sowie diverse Generalagenturverträge und ein Vertrag über die Ausgliederung von Funktionen, Versicherungstätigkeiten und sonstige Tätigkeiten zwischen dem INTER Verein und den deut- schen Tochtergesellschaften, wobei ganz überwiegend die INTER Kranken Dienstleistungen für die Konzernunternehmen erbringt und in geringem Umfang erhält. Die Dienstleistungen werden bzw. wurden überwiegend zu Selbstkosten einschließlich entsprechender Gemeinkostenzu- schläge bzw. zu vereinbarten marktüblichen Preisen oder im Wege der sachgerechten Kostenteilung abgerechnet.

Bei den Geschäftsbeziehungen zu nahestehenden Personen handelt es sich im Wesentlichen um Versicherungs- und Bausparverträge. Hierbei erhalten nahestehende Personen Versicherungsschutz zu für Mitarbeiter von Finanzdienstleistern geltenden Konditionen und Mitarbeiterkonditionen bei Bausparverträgen. Ansonsten erfolgen die Vertragsabschlüsse zu den üblichen Bedingungen.

Zusammenfassend ergibt sich keine Berichterstattungspflicht im Sinne des § 285 Satz 1 Nr. 21 HGB über wesentliche Geschäfte zu marktunüblichen Bedingungen.
