Anhang

1. Allgemeine Angaben

Die Zigmo Engineering Mannheim GmbH mit Sitz in Mannheim ist beim Amtsgericht Mannheim unter der Nummer HRB 726468 in das Handelsregister eingetragen.

Der Jahresabschluss wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuchs aufgestellt.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes und des Gesellschaftsvertrags zu beachten.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Der Jahresabschluss wurde weitgehend nach den für große Kapitalgesellschaften bestehenden Vorschriften aufgestellt, bei der Offenlegung wurden die größenabhängigen Erleichterungen für kleine Kapitalgesellschaften (§ 326 HGB) in Anspruch genommen.

Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind insgesamt im Anhang aufgeführt.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

2. Angaben zur Bilanz

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und entsprechend den steuerlichen Vorschriften linear vorgenommen.

Wirtschaftsgüter mit Anschaffungskosten bis zu € 800, die einer selbständigen Nutzung fähig sind, werden im Jahr des Zugangs in voller Höhe abgeschrieben und als Anlagenabgang erfasst.

Sämtliche Forderungen haben eine Restlaufzeit von bis zu 1 Jahr.

Die sonstigen Vermögensgegenstände und die Flüssigen Mittel wurden zum Nennwert angesetzt.

Der Jahresabschluss wurde nach vollständiger Gewinnverwendung aufgestellt. In den Bilanzgewinn wurde ein Gewinnvortrag von € 25.432,55 einbezogen.

Die Steuerrückstellungen wurden unter Berücksichtigung der bis zum Bilanzstichtag geleisteten Vorauszahlungen berechnet.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten und erkennbare Verpflichtungen gebildet und mit dem wahrscheinlichen Erfüllungsbetrag bewertet. Bei der Rückstellungsbewertung wurden unter Beachtung der Restlaufzeit die Preis- und Kostensteigerungen mit 2% p.a. berücksichtigt. Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr wurden mit dem ihrer Restlaufzeit entsprechenden durchschnittlichen Marktzinssatz der vergangenen sieben Geschäftsjahre abgezinst.

Die Verbindlichkeiten sind mit ihren Erfüllungsbeträgen passiviert.

Die im Rahmen laufender Werkvertragsprojekte erhaltenen Abschlagszahlungen der Auftragnehmer werden als erhaltene Anzahlungen passiviert. Demgegenüber werden die für diese Projekte bis zum Bilanzstichtag erbrachten Leistungen entsprechend als unfertige Leistungen in Höhe der Herstellungskosten aktiviert.

In den Verbindlichkeiten gegenüber verbundenen Unternehmen sind Verbindlichkeiten ggü. der Gesellschafterin in Höhe von € 0,00 (Vorjahr: € 100.660,90) enthalten.

In den Verbindlichkeiten aus Lieferungen und Leistungen sind Verbindlichkeiten ggü. der Gesellschafterin in Höhe von € 13.809,09 (Vorjahr: € 85.682,24) enthalten.
