Anhang

A. Allgemeine Angaben

Der Jahresabschluss der Firma SIMIS-GmbH für das Geschäftsjahr 2010 wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend dazu waren die Regeln des GmbH-Gesetzes und der Satzung der Gesellschaft zu beachten.

Die Vorschriften des Bilanzrechtsmodernisierungsgesetzes (BilMoG) wurden im Jahresabschluss zum 31.12.2010 berücksichtigt.

Da die Gesellschaft ihren Geschäftsbetrieb erst im November 2010 aufgenommen hat, wird der Jahresabschluss ohne Vorjahreswerte dargestellt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft. Bei der Aufstellung des Jahresabschlusses wurde von den größenabhängigen Erleichterungen der §§ 267, 276 und 288 HGB Gebrauch gemacht.

B. Erläuterungen zur Bilanz

Aktivseite

Anlagevermögen

Die Bewertung des Anlagevermögens erfolgt zu den Anschaffungskosten vermindert um planmäßige Abschreibungen.

Die Abschreibungen wurden linear vorgenommen. Die Schätzung der betriebsgewöhnlichen Nutzungsdauer der Vermögensgegenstände des Anlagevermögens erfolgte in analoger Anwendung der steuerlichen Abschreibungstabellen.

Umlaufvermögen

Forderungen und sonstige Vermögensgegenstände

Die Bewertung erfolgt ausgehend vom Nennwert.

Risiken beim Forderungsbestand waren nicht erkennbar. Zur Berücksichtigung des latenten Forderungsrisikos wurde eine Pauschalwertberichtigung in Höhe von 1 % auf den Forderungsbestand (ohne USt) gebildet.

Gegenüber dem Gesellschafter bestand eine Darlehensforderung mit wechselnder Höhe in Höhe von 1.172,98 €. Dieses Darlehen ist ein solches nach § 42 Abs. 3 GmbHG. Der Ausweis in der Bilanz erfolgt nicht gesondert, sondern unter den "Sonstigen Vermögensgegenständen".

Passivseite

Rückstellungen

Die Rückstellungen wurden zu dem Wert in der Bilanz ausgewiesen, der nach kaufmännischem Vorsichtsprinzip notwendig war.

Es besteht eine Rückstellung für die Aufbewahrungspflicht von handels- und steuerrechtlich relevanten Unterlagen mit einer Laufzeit von über einem Jahr. Unter Beachtung der Wesentlichkeit wurde bei dieser Rückstellung auf die Berücksichtigung von Preis- und Kostensteigerungen einerseits und auf eine Abzinsung verzichtet, da davon ausgegangen wird, dass sich beide Werte kompensieren.

Verbindlichkeiten

Die Verbindlichkeiten sind mit dem Erfüllungsbetrag angesetzt.

Verbindlichkeiten mit einer Restlaufzeit von über fünf Jahren bestehen nicht.

Passive Rechnungsabgrenzungsposten

Zahlungen im Geschäftsjahr, die im folgenden Geschäftsjahr Erträge für eine bestimmte Zeit darstellen, wurden unter den Passiven Rechnungsabgrenzungsposten ausgewiesen.

C. Sonstige Angaben

Ausschüttungssperre

Eine Ausschüttungssperre gem. § 268 Abs. 8 HGB ist nicht zu beachten.
