I.

Angaben zum Gegenstand des Unternehmens,
Kapital und Beteiligungsverhältnisse

1. Gegenstand des Unternehmens ist Consulting und Programmierung.

2. Das Stammkapital der Gesellschaft wurde mit Satzungsänderung vom 28.12.2005 erhöht und beträgt nun € 44.650,00, die in voller Höhe eingezahlt sind.

II.

Angaben zu den rechtlichen Verhältnissen

1. Die Gesellschaft wurde mit Gesellschaftsvertrag vom 28. Juni 2000 gegründet und ist im Handelsregister beim Amtsgericht Kleve unter HRB 6107 eingetragen.

2. Das Geschäftsjahr entspricht dem Kalenderjahr.

3. Die Gesellschaft hat ihren Sitz in Moers.

III.

Angaben der Namen der Geschäftsführungsorgane

Zum Geschäftsführer der Gesellschaft war während des Geschäftsjahres bestellt:

   Herr Istok Kespret, Rheinberg

Angaben und Erläuterungen zur Besonderheit der Form,
insbesondere der Gliederung des Jahresabschlusses

1. Die Gesellschaft wendet auf den Jahresabschluss zum 31.12.2011 die Vorschriften des HGB vom 10.05.1897 in der jeweils neuesten Fassung an.

2. Die Gesellschaft, die gemäß § 267 Abs. 1 HGB die Merkmale einer kleinen Kapitalgesellschaft erfüllt, nimmt die größenklassenabhängigen Erleichterungen des § 288 HGB bei der Aufstellung des Anhanges teilweise in Anspruch.

V.

Allgemeine Angaben zur Bewertung und Bilanzierungsmethoden

Angabe der auf die Posten der Bilanz und Gewinn- und Verlustrechnung angewandten Bewertungsmethoden:

a) Liquide Mittel

Die liquiden Mittel werden zum Nominalwert angesetzt.


b. Forderungen und sonstige vermögensgegenstände

Forderungen und sonstige Vermögensgegenstände werden zum Nennwert ausgewiesen. Unter den sonstigen Forderungen ist eine Forderung gegenüber Gesellschaftern i.H.v.
1.266,53 € ausgewiesen.

c) Rückstellungen

Rückstellungen wurden aufgrund von Erfahrungswerten der Vergangenheit und in Höhe des Betrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist

Erläuterungen zur Gewinn- und Verlustrechnung

In der Gewinn- und Verlustrechnung sind außerordentliche Aufwendungen und Erträge nicht enthalten.

Besondere Erläuterungen sind nicht erforderlich.

Der Jahresabschluss zum 31.12.2011, der unter Beachtung der handelsrechtlichen Rechnungslegungsvorschriften erstellt ist, vermittelt ein den tatsächlichen Verhältnissen entsprechendes Bild der Vermögens-, Finanz- und Ertragslage der Gesellschaft.
