Allgemeine Angaben und Bilanzierungs- und Bewertungsmethoden

Allgemeine Angaben

Die Firma Amazic Germany GmbH, München, geführt beim Amtsgericht München HRB 236074, ist eine Kapitalgesellschaft mit beschränkter Haftung.

Der Jahresabschluss zum 31. Dezember 2023 wurde nach den Rechnungslegungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes und des Gesellschaftsvertrages zu beachten.

Zum Abschlussstichtag weist die Gesellschaft die Größenmerkmale einer kleinen Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB auf. Insofern erfolgte die Aufstellung des Jahresabschlusses (Bilanz, Gewinn- und Verlustrechnung und Anhang) nach den für kleine Kapitalgesellschaften im Sinne des § 267 Abs. 1 HGB geltenden Vorschriften.

Die Aufstellung des Jahresabschlusses erfolgt in EUR.

Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren aufgestellt.

Bilanzierungs- und Bewertungsmethoden

Sachanlagen

Das Sachanlagevermögen ist zu Anschaffungskosten, vermindert um planmäßige Abschreibungen bewertet.

Die Abschreibungen auf das bewegliche Anlagevermögen werden in Anlehnung an die steuerlichen Abschreibungs-Tabellen nach der voraussichtlichen Nutzungsdauer, die zwischen einem Jahr und sieben Jahren liegt, linear vorgenommen. Die Zugänge an selbständig nutzungsfähigen Anlagegütern mit Anschaffungskosten bis zu 800,00 EURwurden sofort abgeschrieben. Auf die Zugänge von beweglichen Anlagegütern wurden die Jahresabschreibungen pro rata temporis vorgenommen. Steuerliche Sonderabschreibungen erfolgten ebenso wie außerplanmäßige Abschreibungen nicht.

Forderungen und sonstige Vermögensgegenstände

Die Forderungen wurden unter Berücksichtigen aller erkennbaren Risiken bewertet. Die Forderungen und die sonstigen Vermögensgegenstände sind grundsätzlich mit den Nennwerten bewertet. Bei den Forderungen aus Lieferungen und Leistungen wurde dem allgemeinen Kreditrisiko durch eine Pauschalwertberichtigung in Höhe von 1 % des um die enthaltene Umsatzsteuer und die einzelwertberichtigten Forderungen korrigierten Forderungsbestands Rechnung getragen.

Liquide Mittel

Die liquiden Mittel sind mit den Nennwerten bewertet.

Rechnungsabgrenzungsposten

Die Rechnungsabgrenzungsposten sind zu Nominalwerten gebildet.

Rückstellungen

Als Rückstellungen wurden Verpflichtungen in Höhe des Betrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung für die Erfüllung notwendig ist.

Die sonstigen Rückstellungen wurden für alle weiteren erkennbaren Risiken und ungewissen Verpflichtungen in Höhe des Erfüllungsbetrages angesetzt.

Verbindlichkeiten

Die Verbindlichkeiten sind mit den Erfüllungsbeträgen bilanziert.

Währungsumrechnungen

Auf fremde Währung lautende Vermögensgegenstände und Verbindlichkeiten sind zum Devisenkassamittelkurs am Abschlussstichtag umgerechnet.

Bei einer Restlaufzeit von einem Jahr oder weniger werden § 253 Abs. 1 Satz 1 HGB und § 252 Abs. 1 Nr. 4 Halbsatz 2 HGB nicht angewendet.

Bilanzerläuterungen

Anlagevermögen

Eine von den gesamten Anschaffungskosten ausgehende Darstellung der Entwicklung der Posten des Anlagevermögens ist dem nachfolgenden Anlagenspiegel gemäß § 268 Abs. 2 HGB zu entnehmen.

Eigenkapital

Das gezeichnete Kapital der Gesellschaft in Höhe von insgesamt 25.000,00 EUR entspricht Gesellschaftsvertrag und Satzung.

Es ist in voller Höhe eingezahlt.

Der Jahresabschluss wurde unter Berücksichtigung der Ergebnisverwendung aufgestellt.

Zum Bilanzstichtag besteht ein nicht durch Eigenkapital gedeckter Fehlbetrag gemäß § 268 Abs. 3 HGB in Höhe von 98.936,21 EUR. Die bilanziell bestehende Überschuldung wird jedoch durch einen qualifizierten Rangrücktritt des Gesellschafters beseitigt. Der Gesellschafter hat mit Erklärung vom 31.12.2023 hinsichtlich seiner Darlehensforderung gegenüber der Gesellschaft in Höhe von 364.953,75 EUR einen qualifizierten Rangrücktritt erklärt.

In den Verbindlichkeiten aus Lieferungen und Leistungen sind Verbindlichkeiten gegenüber Gesellschaftern in Höhe von 918.434,27 EUR (Vj.: 25.575,95 EUR) enthalten.

In den sonstigen Verbindlichkeiten sind Verbindlichkeiten gegenüber Gesellschaftern in Höhe von Höhe von 364.953,75 EUR (Vj.: 30.000,00 EUR) enthalten.
