Der vorliegende Jahresabschluss wurde nach den für Kapitalgesellschaften geltenden Vorschriften des Handelsgesetzbuches (§ 264 ff. HGB) sowie des § 42 GmbHG erstellt. Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren aufgestellt.

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Die durchschnittliche Anzahl der Arbeitnehmer wurde gem. § 285 Nr. 7 HGB ermittelt. Von dem ihr eingeräumten Erleichterungen bei der Aufstellung der Bilanz gem. § 266 HGB und bei der Aufstellung des Anhangs gem. § 288 HGB macht die Gesellschaft teilweise Gebrauch. Auf die Aufstellung des Lageberichts wurde in Anwendung des Wahlrechts nach § 264 Abs. 1 Satz 3 HGB verzichtet.

B. Bilanzierungs- und Bewertungsmethoden

Die immateriellen Vermögensgegenstände und das Sachanlagevermögen wurden zu Anschaffungs- bzw. Herstellungskosten, vermindert um planmäßige nutzungsbedingte Abschreibungen bewertet. Die Abschreibungen auf Zugänge des Sachanlagevermögens erfolgten grundsätzlich zeitanteilig. Die Aufgliederung und Entwicklung des Anlagevermögens ist im Anlagenspiegel dargestellt.

Die liquiden Mittel wurden zum Nominalwert angesetzt.

Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten. Sie wurden in Höhe des Betrages ausgewiesen, der nach vernünftiger kaufmännischer Beurteilung notwendig ist bzw. in Höhe der zu erwartenden Inanspruchnahme.

Die Verbindlichkeiten wurden mit dem Erfüllungsbetrag angesetzt.

C. Erläuterungen zur Bilanz

Ein Teilbetrag in Höhe von 12.400 € des eingetragenen Haftkapitals wird offen von den Posten "gezeichnetes Kapital" als "ausstehende Einlage nicht eingefordert" abgesetzt.

D. Sonstige Angaben

Haftungsverhältnisse im Sinne vom § 285 Abs. 3 HGB bestehen nicht.

Angaben zu Mitgliedern der Geschäftsführung gem. § 285 Nr. 10 HGB

Die Geschäftsführer Herr Dr. Sebastian Terlunen, Herr Jan-Hendrik Fischer und Herr Dr. Stefan Fleischer sind gemeinschaftlich zur Geschäftsführung und Vertretung befugt.

Sie wurden mit Gesellschafterbeschluss vom 04.11.2019 zu Geschäftsführern bestellt und sind von den Beschränkungen des § 181 BGB befreit.
