1. Bilanzierungs- und Bewertungsmethoden

Der Jahresabschluss der Centrit Solutions GmbH ist nach den Vorschriften des Handelsgesetzbuches aufgestellt. Das Gesetz zur Modernisierung des Bilanzrechtes (BilMoG) vom 25. Mai 2009 und die daraus resultierenden Rechtsfolgen zur Maßgeblichkeit der handelsrechtlichen Grundsätze ordnungsgemäßer Buchführung für die steuerliche Gewinnermittlung gemäß Schreiben des Bundesministeriums für Finanzen vom 12.03.2010 wurden bei der Erstellung entsprechend berücksichtigt.

Im Aufbau und Gliederung folgen Bilanz sowie Gewinn- und Verlustrechnung den gesetzlichen Vorschriften. Der Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren zugrunde gelegt.

Die größenabhängigen Erleichterungen für kleine Kapitalgesellschaften gem. § 274a Nr. 5 HGB wurden angewandt.

2. Erläuterung zur Bilanz


a. Anlagevermögen

Hinsichtlich der Zusammensetzung und der Entwicklung des Anlagevermögens im Geschäftsjahr 2011 wird auf die Entwicklungsübersicht des Anlagevermögens verwiesen. Die Anfangsbestände im Anlagenspiegel sind zu ursprünglichen Anschaffungs- bzw. Herstellungskosten sowie zu den Buchwerten zum 30.06.2010 des eingebrachten Einzelunternehmens Rhein Systeme angegeben.

Die Sachanlagen sind zu Anschaffungs- bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen, bewertet. Die planmäßigen Abschreibungen sind entsprechend den betriebsgewöhnlichen Nutzungsdauern linear berechnet.

b) Umlaufvermögen

Forderungen und sonstige Vermögensgegenstände werden mit dem Nennbetrag bzw. dem am Bilanzstichtag niedrigeren beizulegenden Wert angesetzt.

c) Eigenkapital

Gesellschafter der Gesellschaft ist Herr Markus Krause, Kaarst. Das gezeichnete Kapital beträgt € 25.000,00 und ist vollständig einbezahlt.

d) Rückstellungen

Rückstellungen werden mit dem Betrag gebildet, der als wirtschaftliche        Belastung wahrscheinlich auf die Gesellschaft zukommen wird.

e) Verbindlichkeiten

Verbindlichkeiten werden zum Rückzahlungsbetrag bewertet. Notwendige Zinsabgrenzungen sind vorgenommen worden.

e) latente Steuern

Die ausgewiesenen passiven latenten Steuern ergeben sich aus den steuerrechtlichen Sonderabschreibungen nach § 7g Abs. 5 EstG aus dem Vorjahr und der Abzinsung der Aufbewahrungsrückstellungen nach § 253 Abs. 2 HGB. Zur Berechnung der latenten Steuern wurden die entsprechend der gesetzlichen Vorgaben individuellen steuersubjektbezogenen Steuersätze zugrundegelegt.

3. Haftungsverhältnisse

Sonstige finanzielle Verpflichtungen

Die Verpflichtungen für Mieten betragen jährlich 5,7 TEUR.
