A. ALLGEMEINE HINWEISE

Die Gesellschaft ist unter der Firma Cooper Software GmbH mit Sitz in Neuss im Handelsregister des Amtsgerichts Neuss unter der Nummer HRB 23943 eingetragen (bis zum 4. Juni 2024: Sitz in Ansbach, eingetragen im Handelsregister des Amtsgerichts Ansbach unter der Nummer HRB 6979).

Der vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG aufgestellt. Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 HGB auf. Für den Jahresabschluss gelten die Vorschriften für kleine Kapitalgesellschaften.

Die Gesellschaft macht von den ihr eingeräumten größenabhängigen Erleichterungen entsprechend § 276 HGB und § 288 HGB teilweise Gebrauch.

Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren gegliedert.

B. BILANZIERUNGS- UND BEWERTUNGSMETHODEN

Für die Aufstellung des Jahresabschlusses waren unverändert die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend.

Das Sachanlagevermögen ist zu Anschaffungs- bzw. Herstellungskosten angesetzt und wird, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die Vermögensgegenstände des Sachanlagevermögens werden nach Maßgabe der voraussichtlichen Nutzungsdauer abgeschrieben. Die Abschreibungen auf Zugänge des Sachanlagevermögens werden zeitanteilig vorgenommen.

Geringwertige Anlagegüter bis zu einem Netto-Einzelwert von EUR 800,00 sind im Jahr des Zugangs voll abgeschrieben bzw. als Aufwand erfasst worden; ihr sofortiger Abgang wurde unterstellt.
Forderungen und sonstige Vermögensgegenstände sind zum Nennwert angesetzt.

Als aktive Rechnungsabgrenzungsposten sind Auszahlungen vor dem Abschlussstichtag angesetzt, soweit sie Aufwand für einen bestimmten Zeitraum nach diesem Zeitraum darstellen.

Die Rückstellungen berücksichtigen alle ungewissen Verbindlichkeiten. Sie sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt.
Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt.

Durch den passiven Rechnungsabgrenzungsposten werden bereits in Rechnung gestellte und bezahlte Leistungen, die für langfristige bzw. periodenübergreifende Leistungen belastet wurden, abgegrenzt.

C. ERLäUTERUNGEN ZUR BILANZ

Eigenkapital

Zum Bilanzstichtag weist die Gesellschaft einen nicht durch Eigenkapital gedeckten Fehlbetrag in Höhe von EUR 176.445,70 (Vorjahr EUR 63.510,01) aus. Die Geschäftsführung geht davon aus, dass lediglich eine buchmäßige Überschuldung existiert und aufgrund der positiven Fortführungsprognose keine Überschuldung im Sinne des § 19 Abs. 2 InsO vorliegt.

Sonstige Rückstellungen

Die sonstigen Rückstellungen wurden im Wesentlichen für ausstehende Eingangsrechnungen, Boni und Kosten für die Erstellung des Jahresabschlusses und der Steuererklärungen gebildet.

Verbindlichkeiten

Verbindlichkeiten in Höhe von EUR 30.000,00 (Vorjahr EUR 0,00) beziehen sich auf Darlehen gegenüber der Gesellschafterin mit einer Restlaufzeit von mehr als einem Jahr.

Des Weiteren betreffen sonstige Verbindlichkeiten in Höhe von EUR 272.439,26 (Vorjahr EUR 70.074,35) solche gegenüber der Gesellschafterin.

Im Übrigen haben die Verbindlichkeiten eine Restlaufzeit von unter einem Jahr.
