A. Rechtliche Verhältnisse

Im Geschäftsjahr war Herr Hans-Edgar Puth zum Geschäftsführer bestellt. Er hat Alleinvertretungsbefugnis und ist berechtigt, die Gesellschaft bei der Vornahme von Rechtsgeschäften mit sich selbst oder als Vertreter eines Dritten uneingeschränkt zu vertreten. Er ist von den Beschränkungen des § 181 BGB befreit.

B. Angaben zur Bilanzierung und Bewertung einschließlich der Vornahme steuerrechtlicher Maßnahmen

Der Jahresabschluss der BECA Technologies GmbH wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten. Im Einzelnen waren dies folgende Grundsätze und Methoden:
Auf die Gesellschaft finden die Vorschriften des § 267 Abs. 1 HGB Anwendung.

Aktivseite der Bilanz

Das Sachanlagevermögen wurde zu Anschaffungskosten angesetzt und um planmäßige Abschreibungen vermindert. Die Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und entsprechend steuerlicher Vorschriften linear vorgenommen. Außerplanmäßige Abschreibungen wurden nicht vorgenommen. Für angeschaffte Wirtschaftsgüter zwischen 150,00 Euro und 1.000,00 Euro wurde ein Sammelposten gem. § 6 Abs. 2a EStG gebildet, der mit einem Fünftel jeweils gewinnmindernd aufgelöst wurde.
Die in Arbeit befindlichen Aufträge wurden zu Selbstkosten bewertet.
Die Forderungen und sonstigen Vermögensgegenstände sind ausgehend vom Nennwert unter Beachtung aller erkennbaren Risiken bewertet.
Die Bestände stimmen mit dem Kassenbuch bzw. Kontoauszügen überein. Zinsen und Spesen sind in alter Rechnung gebucht.
Die Rechnungsabgrenzungsposten betreffen unter anderem die Betriebshaftpflichtversicherung und Lizenzgebühren.

Passivseite der Bilanz
Rückstellungen für alle erkennbaren ungewissen Verbindlichkeiten sind gebildet worden. Sie wurden in Höhe des Betrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. Sie beinhalten neben den Steuerrückstellungen für Körperschaftsteuer und Gewerbesteuer u. a. Archivierungs- und Veröffentlichungskosten, noch zu gewährenden Urlaub, Garantieleistungen und voraussichtliche Jahresabschlusskosten.
Die Verbindlichkeiten beinhalten Gesellschafterdarlehen aus Vorlagen von 7.053,33 Euro und erhaltene Anzahlungen auf Bestellungen von 244.002,72 Euro. Alle Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr.
Die nicht bilanzierten Verbindlichkeiten aus Gewährleistungsverträgen betragen 85.842,50 Euro.
