German corporations such as GmbH, UG and AG must file their annual statement with the Unternehmensregister (the federal company register) within twelve months of the end of the fiscal year. The statement for 2015 was therefore due by the end of 2016 – no newer one has been filed there to date.

Who has to publish what?

What must be published depends on company size, measured by total assets, revenue and headcount: a company belongs to a size class when it stays below two of the three limits on two consecutive balance-sheet dates. Current limits:

Micro-companies up to €450,000 total assets · €900,000 revenue · 10 employees
Only deposit a balance sheet, which is not publicly viewable. No figures appear here.
Small companies up to €7.5 million total assets · €15 million revenue · 50 employees
Publish an abridged balance sheet without a profit and loss statement. Revenue and net income are then missing.
Medium-sized companies up to €25 million total assets · €50 million revenue · 250 employees
Publish the balance sheet and an abridged profit and loss statement.
Large companies (above that)
Publish the full annual statement including the management report.

Sole traders and partnerships with a natural person as fully liable partner (such as GbR, OHG or a classic KG) are not required to disclose at all. Figures then only exist if they were published voluntarily.

Other typical reasons:

The company has fallen below the size limits and has only deposited its statements since, instead of publishing them.
The company was dissolved, merged, liquidated or is insolvent. After that, statements are usually no longer published.
The filing was missed or is late. The Federal Office of Justice then imposes fines, but publication often still happens years later.

Anhang

Allgemeine Angaben und Erläuterungen

Der Jahresabschluss der Asset Based Solutions GmbH zum 31.12.2014 ist nach den Vorschriften der §§ 238 ff. HGB i. V. m. den besonderen Vorschriften für Kapitalgesellschaften gem. §§ 264 ff. HGB sowie unter Beachtung des Gesellschaftsvertrages und den ergänzenden Vorschriften des GmbHG aufgestellt.

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf. Die Größenkriterien von Kleinstkapitalgesellschaften gemäß § 267a HGB werden ebenfalls nicht überschritten. Größenabhängige Erleichterungen für kleine Kapitalgesellschaften werden teilweise in Anspruch genommen.

Ein Lagebericht wird in Anwendung des Wahlrechtes nach § 264 Abs. 1 Satz 4 HGB nicht aufgestellt.

Bilanzierungs- und Bewertungsmethoden

Die Bilanzierungs- und Bewertungsmethoden entsprechen den Vorschriften des HGB. Diese sind soweit zulässig an den steuerlichen Vorschriften ausgerichtet und gegenüber dem Vorjahr unverändert.

Forderungen und sonstige Vermögensgegenstände werden zum Nennbetrag angesetzt.

Liquide Mittel werden zum Nominalwert ausgewiesen.

Rückstellungen werden mit dem Erfüllungsbetrag bewertet der nach vernünftiger kaufmännischer Beurteilung notwendig ist.

Verbindlichkeiten werden mit den Erfüllungsbeträgen angesetzt.

Angaben zu Positionen der Bilanz

Die Forderungen und sonstigen Vermögensgegenstände sind innerhalb eines Jahres fällig.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten und betreffen Aufwendungen für Buchführung sowie Aufwendungen für die Erstellung des Jahresabschlusses und der Steuererklärungen.

Die Verbindlichkeiten sind sämtlichst innerhalb eines Jahres fällig.

Unter den sonstigen Verbindlichkeiten sind Verbindlichkeiten gegenüber Gesellschaftern gemäß § 42 Abs. 3 GmbHG i. H. v. T€ 1,2 ausgewiesen.

Sonstige Angaben

Die Gesellschaft beschäftigt zum Bilanzstichtag keine Mitarbeiter.

Die Geschäftsführung der Gesellschaft erfolgte im Berichtsjahr und zum Bilanzstichtag durch die Herren Georg Braune, Rechtsanwalt, Berlin und Dr. Jörg Autschbach, Pullach. Im Zeitpunkt der Unterzeichnung des Jahresabschlusses erfolgte die Geschäftsführung durch den alleinigen Geschäftsführer Herrn Georg Braune, Rechtsanwalt, Berlin.

Die Gesellschaft wurde im Berichtsjahr durch die Geschäftsführer jeweils einzeln vertreten. Sie sind jeder für sich von den Beschränkungen des § 181 BGB befreit.
