1. Allgemeine Angaben zum Jahresabschluss

1.1 Angaben zum Unternehmen

Die CORTS Engineering GmbH & Co. KG hat ihren Sitz in Remscheid. Sie ist im Handelsregister des Amtsgericht Wuppertal unter HRA 23088 eingetragen.

1.2 Allgemeine Angaben

Der Jahresabschluss wurde nach den Vorschriften der §§ 242 ff. HGB unter Beachtung der ergänzenden Bestimmungen für kleine Kapitalgesellschaften (§ 264 ff. HGB) sowie des GmbHG aufgestellt.

Nach den in § 267 HGB angegebenen Größenklassen, welche gemäß § 264a Abs. 1 HGB auch auf die Kommanditgesellschaft anzuwenden sind, ist die Gesellschaft wie eine kleine Kapitalgesellschaft einzustufen und nimmt die größenabhängigen Erleichterungen des § 288 HGB sowie zur Offenlegung die Erleichterungsvorschriften des § 326 HGB in Anspruch.

Größenabhängige Erleichterungen bei der Aufstellung (§§ 266 Abs. 1, 276, 288 HGB) des Jahresabschlusses sowie zur Offenlegung (§§ 325 - 327 HGB) wurden in Anspruch genommen.

Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren aufgestellt.

1.3 Vergleichbarkeit mit dem Vorjahr

Der vorliegende Jahresabschluss ist grundsätzlich unter Beibehaltung der für den Vorjahresabschluss angewendeten Gliederungsgrundsätze nach den für kleine Kapitalgesellschaften geltenden Vorschriften des Handelsgesetzbuches aufgestellt (§§ 265 Abs. 1 S. 2, 266 ff. HGB).

2. Angaben zu Bilanzierungs- und Bewertungsmethoden

Das Aktivierungswahlrecht für selbst geschaffene immaterielle Vermögensgegenstände des Anlagevermögens gem. § 248 Abs. 2 HGB wurde im Jahr 2011 in Anspruch genommen. Sie wurden gem. § 255 Abs. 2a HGB mit den bei deren Entwicklung anfallenden Herstellungskosten bewertet und um die planmäßige Abschreibung vermindert. Die Vermögensgegenstände waren zum 31.12.2018 voll abgeschrieben und werden mit dem Erinnerungswert ausgewiesen.

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und, sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.

In die Herstellungskosten wurden neben den unmittelbar zurechenbaren Kosten auch notwendige Gemeinkosten und durch die Fertigung veranlasste Abschreibungen einbezogen.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Die Vorräte wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt. Sofern die Tageswerte am Bilanzstichtag niedriger waren, wurden diese angesetzt.

Forderungen und sonstige Vermögensgegenstände wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die Steuerrückstellungen beinhalten die das Geschäftsjahr betreffenden, noch nicht veranlagten Steuern.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

3. Angaben zur Bilanz

3.1 Anlagenspiegel für die einzelnen Posten des Anlagevermögens

Die Aufgliederung und Entwicklung der Anlagenwerte sowie die Geschäftsjahresabschreibung je Posten ist aus dem Anlagenspiegel zu entnehmen.

3.2 Angaben zu Ausleihungen, Forderungen und Verbindlichkeiten gegenüber Gesellschaftern
(§ 42 Abs. 3 GmbHG / § 264c Abs. 1 HGB)

Gegenüber den Gesellschaftern bestehen die nachfolgenden Rechte und Pflichten:

Bezüglich der Verbindlichkeiten gegenüber dem Gesellschafter Klaus Jochen Corts besteht eine teilweise Rangrücktrittsvereinbarung vom 09.12.2020. Der Gesellschafter tritt damit zur Vermeidung einer zukünftigen Überschuldung der Gesellschaft mit seiner Forderung auf Rückzahlung des Darlehens in Höhe von Euro 1.000.000,00 zu Gunsten anderer Gläubiger zurück.

3.3 Betrag der Verbindlichkeiten nach Restlaufzeiten

Von den Gesamtverbindlichkeiten haben Euro 604.462,69 (Vorjahr: Euro 410.492,87) eine Restlaufzeit < 1 Jahr.
Von den Gesamtverbindlichkeiten haben Euro 221.298,77 (Vorjahr: Euro 343.749,95) eine Restlaufzeit > 1 Jahr.
Von den Gesamtverbindlichkeiten haben Euro 0,00 (Vorjahr: Euro 0,00) eine Restlaufzeit > 5 Jahre.

Die Komplementärin, Ji-FALC GmbH, ist zur Geschäftsführung und Vertretung der CORTS Engineering GmbH & Co. KG berechtigt und verpflichtet. Während des abgelaufenen Geschäftsjahres wurde die Geschäftsführung der Komplementärin von:
