I. Allgemeine Angaben und Erläuterungen zum Jahresabschluss

1. Gliederung

Der Jahresabschluss der Gesellschaft für das Geschäftsjahr 2010 wurde nach den Rechnungslegungsvorschriften des Handelsgesetzbuchs erstellt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

2. Bilanzierungs- und Bewertungsmethoden

a) Bilanzierungsmethoden

Der Jahresabschluss wurde auf der Grundlage der Bilanzierungs- und Bewertungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

b) Bewertungsmethoden

Die Vermögensgegenstände des Sachanlagevermögen wurden gem. § 255 (1) HGB zu Anschaffungs- bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen, bewertet. Bei der Ermittlung der planmäßigen Abschreibungen kam die lineare Abschreibungsmethode unter Zugrundelegung der voraussichtlichen betriebsgewöhnlichen Nutzungsdauer zur Anwendung. Die Anschaffungskosten beweglicher Wirtschaftsgüter des Anlagevermögens bis zu einem Wert von Euro 150,-- wurden im Jahr des Zugangs voll abgeschrieben. Für bewegliche Wirtschaftsgüter des Anlagevermögens bis zu einem Wert von Euro 150,-- aber nicht mehr als Euro 1.000,-- wurde ein Sammelposten gebildet und linear über 5 Jahre abgeschrieben.

Forderungen und sonstige Vermögensgegenstände sind ausgehend von den Anschaffungskosten unter Berücksichtigung des erkennbaren und latent vorhandenen Ausfallrisikos bewertet.

Die sonstigen Rückstellungen wurden für alle erkennbaren Verbindlichkeiten unter Berücksichtigung der Einheit zwischen Handels- und Steuerbilanz gebildet.

Die Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

III. Ergänzende Angaben

1. Angaben über die Mitglieder der Unternehmensorgane

Während des abgelaufenen Geschäftsjahres wurde die Geschäftsführung durch Herrn Dr. Volker Krämer wahrgenommen.

Gegenüber dem Geschäftsführer ist unter den sonstigen Vermögensgegenständen eine Forderung in Höhe von 1.129,56 Euro ausgewiesen. Es handelt sich hierbei um ein ständig wechselndes Kontokorrentkonto, das mit durchschnittlich 8 % zu verzinsen war.

2. Angaben nach § 42 Abs. 3 GmbHG

Gegenüber den Gesellschaftern bestehen die nachfolgenden Rechte und Pflichten:
