Anhang

Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss wurde nach den Vorschriften der §§ 242 ff. HGB unter der Beachtung der ergänzenden Bestimmungen für kleine Kapitalgesellschaften aufgestellt.

Die Gesellschaft firmiert unter dem Namen Aidoo Software GmbH. Sie hat ihren Sitz in Schermbeck und ist im Handelsregister beim Amtsgericht Gelsenkirchen unter der Registernummer HRB 11898 eingetragen.

Angaben zu Bilanzierungs- und Bewertungsmethoden

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und, sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und, soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände linear vorgenommen.

Die Vorräte wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt. Sofern die Tageswerte am Bilanzstichtag niedriger waren, wurden diese angesetzt.

Forderungen und sonstige Vermögensgegenstände wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die flüssigen Mittel sind in Höhe ihres Nennwerts angesetzt.

Ausgaben vor dem Abschlussstichtag, soweit sie Aufwand für eine bestimmte Zeit nach diesem Tag darstellen, sind unter dem Rechnungsabgrenzungsposten aktivisch abgegrenzt.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt. Sie sind in Höhe des notwendigen Erfüllungsbetrages angesetzt.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Angaben zur Bilanz

Der Wert der Forderungen gegenüber Gesellschaftern beläuft sich auf 53.978,36 Euro (Vorjahr: 23.002,77 Euro).

Die Bilanz zum 31.12.2023 weist einen Kapitalfehlbetrag in Höhe von 123.254,29 Euro aus. Nach Ansicht der Geschäftsführung steht dieser Feststellung eine Fortführung des Unternehmens jedoch nichts entgegen, da der nicht durch Eigenkapital gedeckte Fehlbetrag durch immaterielle Wirtschaftsgüter (Kundenstamm) ausreichend gedeckt ist.

Die nachfolgenden Sicherungsarten und Sicherungsformen sind mit den Verbindlichkeiten verbunden:

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr beträgt 248.557,61 Euro (Vorjahr: 325.223,86 Euro).

Der Betrag der Verbindlichkeiten mit einer Restlaufzeit größer einem Jahr beträgt 53.808,74 Euro (Vorjahr: 101.480,04 Euro).

Der Betrag der Verbindlichkeiten gegenüber Gesellschaftern beläuft sich auf 0,00 Euro (Vorjahr: 93.675,70 Euro).

Zum Bilanzstichtag bestehen sonstige finanzielle Verpflichtungen aus Mietverträgen in Höhe von jährlich 27.934,80 Euro (Laufzeit unbegrenzt) und aus Leasingverträgen in Höhe von jährlich 21.449,52 Euro (Laufzeit bis 12/2026).

Sonstige Angaben

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 16.
