Anhang für das Geschäftsjahr 2011

I. Allgemeine Angaben zum Jahresabschluss

Es wird darauf hingewiesen, dass es sich um eine kleine Kapitalgesellschaft im Sinne von § 267 (1) HGB handelt und damit gemäß § 288 HGB nicht alle Angaben nach §§ 265 - 287 HGB in den Anhang aufgenommen worden sind.

Gemäß § 264c Abs. 1 HGB wurde die Bilanz um die Posten
- Verbindlichkeiten gegenüber Gesellschafter
erweitert.

Erläuterung zum Jahresabschluss

Der vorliegende Jahresabschluss wurde auf der Grundlage der Bilanzierung- und Bewertungsvorschriften des HGB aufgestellt.

Die Bewertung wurde von der Geschäftsleitung trotz der bestehenden bilanziellen Überschuldung weiterhin unter der Annahme der Fortführung der Unternehmenstätigkeit (§ 252 Abs. 1 Nr. 2 HGB) vorgenommen, da der Verpächter, Gebr. Dornseiffer, einen teilweisen Rangrücktritt hinter der Forderungen anderer Gläubiger erklärt hat. Die Erklärung ist dem Jahresabschluss als Anlage beigefügt.

Im Einzelnen werde folgende Angaben zu den einzelnen Bilanzposten gemacht:

1) Anlagevermögen

Die Vermögensgegenstände des Anlagevermögens wurden mit den Anschaffungen- oder Herstellungskosten, vermindert um planmäßige Abschreibungen, angesetzt. Die planmäßigen Abschreibungen wurden sowohl nach der linearen als auch nach der degressiven Methode unter Beachtung der betriebsgewöhnlichen Nutzungsdauer vorgenommen.

Die Entwicklung des Anlagevermögens wird im Anlagespiegel dargestellt.

2. Vorräte

Die Bewertung der Vorrate erfolgt zu Anschaffungs- oder Herstellungskosten bzw. dem niedrigeren beizulegenden Wert. Die Herstellungskosten enthalten in angemessenen Umfang Fertigungs- und Materialgemeinkosten.

3. Forderungen aus Lieferungen und Leistungen

Bei den Forderungen aus Lieferungen und Leistungen wurden, soweit Forderungen zweifelhaft sind, Einzelwertberichtigungen vorgenommen.

4. Sonstige Vermögensgegenstände

Die Sonstigen Vermögensgegenstände wurden mit ihrem Nennwert angesetzt

5. Eigenkapital

Das Eigenkapital wurde mit dem Nennbetrag bewertet. Das Stammkapital ist eingezahlt.

Der Nicht durch Eigenkapital gedeckte Fehlbetrag beträgt - 35.829,55 EUR.

Die buchmäßige Überschuldung ist durch folgende Maßnahmen beseitigt worden:

Die Gebr. Dornseiffer Inhaberin Frau Margret Dornseiffer hat einen Rangrücktritt in Höhe 40.000 EURO hinter die Forderungen anderer Gläubiger erklärt. Der Rangrücktritt ist zeitlich bis zur Unterzeichung des Jahresabschluss 2012 begrenzt.

6. Rückstellung

Die Pensionsrückstellung ist nicht bilanziert. Die Pensionsverpflichtung besteht gegenüber dem Geschäftsführer, Herrn Stefan Dornseiffer, und wurde am 25.06.2000 zugesagt. Es liegt ein versicherungsmathematisches Gutachten des Versicherers, der Generali Lebensversicherung AG vom 10.02. 2012 zugrunde. Der Teilwert zum 31.12.2011 beträgt laut Bewertung der Versicherungsgesellschaft 40.967 EUR.

Die Rückstellung für sonstige ungewisse Verbindlichkeiten wurden nach vernünftiger kaufmännischer Beurteilung gebildet und berechnet. Schätzungsgrundlage waren die Erfahrungen der Vergangenheit.

7. Verbindlichkeiten

Die Verbindlichkeiten sind mit ihrem Rückzahlungsbetrag passiviert worden.

Die Verbindlichkeiten gegenüber Gesellschaftern betragen insgesamt 49.424,72 EUR (Vorjahr 48.738,49 EUR).

Die Verbindlichkeiten im einer Restlaufzeit bis zu einem Jahr betragen 111.873,61 (Vorjahr 110.606.64 EUR).

8. Haftungsverhältnisse:

Zum Abschlussstichtag bestanden Leasingverpflichtungen in geschäftsüblichen Umfang.

Sonstige Angaben

1. Geschäftsführung

Im Geschäftsjahr 2011 erfolgte die Geschäftsführung der Firma Dornseiffer GmbH durch den Geschäftsführer:

- Herrn Stefan Dornseiffer, Siegen

Herr Stefan Dornseiffer ist alleinvertretungsberechtigter Geschäftsführer der Gesellschaft. Er ist von der Beschränkung des § 181 BGB befreit.

2. Lagebericht

Auf die Erstellung eines Lageberichts wird gemäß § 264 Abs. 1 S. 3 HGB verzichtet.

3. andere Aufgaben

Die Gesellschaft ist zum 31. Dezember 2011 buchmäßig überschuldet. Durch eine Rangrücktrittserklärung von Forderungen der Firma Gebr. Dornseiffer, Inhaberin Margret Dornseiffer, im Rang hinter den anderen Gläubigern, ist die buchmäßige Überschuldung bestätigt.
