Anhang

A. Allgemeine Angaben

Der Jahresabschluss 2010/2011 der Firma SimVA Software & Services GmbH wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuches aufgestellt.

Für die Gewinn und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Aufbau und Gliederung der Bilanz und der Gewinn- und Verlustrechnung entsprechen dem Vorjahr.

Nach dem in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft .

B. Erläuterungen zu den Bilanzierungs- und Bewertungsmethoden

1. Bilanzierungs- und Bewertungsmethoden Anlagevermögen

Das Sachanlagevermögen wird zu Anschaffungs- bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen, ausgewiesen.

Die planmäßigen Abschreibungen werden innerhalb der steuerlich zugelassenen Nutzungsdauer linear und degressiv vorgenommen. Bewegliche Vermögensgegenstände des Anlagevermögens mit einem Wert bis 410,00 € werden im Zugangsjahr voll abgeschrieben.

2. Bilanzierungs- und Bewertungsmethoden Umlaufvermögen

Forderungen und sonstige Vermögensgegenstände wurden unter Berücksichtigung aller erkennbaren Risiken bewertet. Einzelwertberichtigungen bzw. Abschreibungen wurden nicht gebildet. Pauschalwertberichtigungen wurden gebildet.

Kassenbestand und Guthaben bei Kreditinstituten stimmen mit dem letzten Kassenbericht bzw. dem letzten Kontoauszug zum Bilanzstichtag überein.

Rückstellungen sind in der Höhe des Betrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung anzusetzten ist; sie berücksichtigen aller erkennbaren Risiken und ungewisse Verpflichtungen.

Die Verbindlichkeiten sind zum Rückzahlungsbetrag passiviert.

C. Erläuterungen zur Bilanz

Die Restlaufzeit der Verbindlichkeiten ergibt sich aus der Bilanz. Die Verbindlichkeiten aus Lieferungen und Leistungen sind im branchenüblichen Umfang durch Eigentumsvorbehalt gesichert.

D. Sonstige Angaben

1. Haftungsverhältnisse i. S. d. § 251 HGB bestehen nicht.

2. Mitglieder der Geschäftsführung waren in 2010/2011:

3. Die Gesellschaft weist zum 31.05.2011 einen nicht duch Eigenkapital gedeckten Fehlbetrag in Höhe von 272.415,35 € aus. Sie ist daher bilanziell überschuldet. Eine tatsächliche Überschuldung und eine Insolvenzantragspflicht bestehen am Bilanzstichtag nicht. Herr Dipl.-Phys. Dr.-Ing. Wolfgang Lindemann hat, wie auch Herr Dipl.-Kfm. Dr.-Ing. Hartmut Weber, hinsichtlich ihrer Forderungen gegen die Gesellschaft den Rangrücktritt erklärt. Die Forderung des Herrn Dipl.-Kfm Dr.-Ing. Hartmut Weber kann erst bedient werden nachdem die Forderung des Herrn Dipl.-Phys. Dr.-Ing Wolfgang Lindemann getilgt ist.

E. Ergebnisverwendung

Ergebnisverwendungsvorschlag: Der Jahresfehlbetrag wird auf neue Rechnung vorgetragen.
