German corporations such as GmbH, UG and AG must file their annual statement with the Unternehmensregister (the federal company register) within twelve months of the end of the fiscal year. The statement for 2012 was therefore due by the end of 2013 – no newer one has been filed there to date.

Who has to publish what?

What must be published depends on company size, measured by total assets, revenue and headcount: a company belongs to a size class when it stays below two of the three limits on two consecutive balance-sheet dates. Current limits:

Micro-companies up to €450,000 total assets · €900,000 revenue · 10 employees
Only deposit a balance sheet, which is not publicly viewable. No figures appear here.
Small companies up to €7.5 million total assets · €15 million revenue · 50 employees
Publish an abridged balance sheet without a profit and loss statement. Revenue and net income are then missing.
Medium-sized companies up to €25 million total assets · €50 million revenue · 250 employees
Publish the balance sheet and an abridged profit and loss statement.
Large companies (above that)
Publish the full annual statement including the management report.

Sole traders and partnerships with a natural person as fully liable partner (such as GbR, OHG or a classic KG) are not required to disclose at all. Figures then only exist if they were published voluntarily.

Other typical reasons:

The company has fallen below the size limits and has only deposited its statements since, instead of publishing them.
The company was dissolved, merged, liquidated or is insolvent. After that, statements are usually no longer published.
The filing was missed or is late. The Federal Office of Justice then imposes fines, but publication often still happens years later.

Anhang

Allgemeine Angaben
Der Jahresabschluss der edition-software GmbH wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuchs aufgestellt.
Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.
Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind insgesamt im Anhang aufgeführt.
Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.
Größenklassen
Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.
Angabe und Begründung der gegenüber dem Vorjahr abweichenden Form der Darstellung
Beim Jahresabschluss konnten die bisher angewandten Bilanzierungs- und Bewertungsmethoden im Wesentlichen übernommen werden.
Angaben zur Bilanzierung und Bewertung einschließlich steuerrechtlicher Maßnahmen
Bilanzierungs- und Bewertungsgrundsätze
Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.
Der steuerliche Sammelposten nach § 6 Abs. 2a EStG wurde in die Handelsbilanz übernommen, da der vorliegende Sammelposten für Unternehmen von untergeordneter Bedeutung ist.
Geringwertige Vermögensgegenstände mit Anschaffungskosten von über 150,00 € bis 410,00 € wurden im Anschaffungsjahr grundsätzlich aktiviert und in voller Höhe abgeschrieben.
Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und entsprechend den steuerlichen Vorschriften vorgenommen.
Forderungen und Wertpapiere wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.
Die Forderungen wurden mit dem Nennwert angesetzt.
Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.
Rückstellungen wurden in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages passiviert.
Verbindlichkeiten wurden mit dem Erfüllungsbetrag angesetzt.

Vorschlag zur Ergebnisverwendung
Die Geschäftsführung schlägt in Übereinstimmung mit den Gesellschaftern die folgende Ergebnisverwendung vor:
Der Jahresfehlbetrag beträgt EUR -447,47.
Auf neue Rechnung werden EUR 124,10 vorgetragen.

Während des abgelaufenen Geschäftsjahrs wurden die Geschäfte des Unternehmens durch folgende Personen geführt:
