Factory Evolution GmbH mit Sitz in Stuttgart

A. Allgemeine Angaben

Der Jahresabschluss der Factory Evolution GmbH, Stuttgart (Amtsgericht Stuttgart, HRB 761368) wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuches in der Fassung des Bilanzrichtlinie-Umsetzungsgesetzes (BilRUG) aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des Gesetzes betreffend die Gesellschaft mit beschränkter Haftung (GmbHG) zu beachten. Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren erstellt worden. Größenabhängige Erleichterungen gemäß § 288 HGB wurden in Anspruch genommen.

Auf die Rechnungslegung der Gesellschaft finden die Vorschriften für kleine Kapitalgesellschaften im Sinne von §§ 267 Abs. 1 HGB Anwendung.

Soweit Wahlrechte für Angaben in der Bilanz oder im Anhang ausgeübt werden können, wurde der Vermerk in der Bilanz gewählt.

B. Angaben zu Bilanzierung und Bewertung

Der Jahresabschluss wurde unter Beachtung der Ansatzvorschriften der §§ 246-251 HGB sowie unter Berücksichtigung der besonderen Ansatzvorschriften für Kapitalgesellschaften, §§ 268-274a, 276-278 HGB, und unter Beachtung der generellen Bewertungsvorschriften der §§ 252-256 HGB erstellt.

Im Jahresabschluss sind sämtliche Vermögensgegenstände, Schulden, Rechnungsabgrenzungsposten, Aufwendungen und Erträge enthalten, soweit gesetzlich nichts anderes bestimmt ist. Die Posten der Aktivseite sind nicht mit Posten der Passivseite, Aufwendungen nicht mit Erträgen verrechnet worden.

Bei der Bewertung wurde von der Fortführung des Unternehmens ausgegangen. Es ist vorsichtig bewertet worden, namentlich sind alle vorhersehbaren Risiken und Verluste, die bis zum Abschlussstichtag entstanden sind, berücksichtigt worden. Gewinne wurden nur berücksichtigt, wenn sie bis zum Abschlussstichtag realisiert wurden.

I. Anlagevermögen

Das Sachanlagevermögen und die immateriellen Vermögensgegenstände des Anlagevermögens wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert. Die planmäßigen Abschreibungen erfolgten unter Zugrundelegung der betriebsgewöhnlichen Nutzungsdauer. Die Vermögensgegenstände werden linear abgeschrieben.

Geringwertige Wirtschaftsgüter bis Euro 800,00 werden im Zugangsjahr voll abgeschrieben.

II. Umlaufvermögen

Forderungen und sonstige Vermögensgegenstände sind mit ihrem Nominalwert angesetzt. Abschreibungen auf den geringeren beizulegenden Wert waren nicht erforderlich.

III. Rückstellungen

Die Rückstellungen beinhalten alle bekannten Risiken und ungewissen Verbindlichkeiten und sind gemäß § 249 HGB gebildet worden.

IV. Verbindlichkeiten

Verbindlichkeiten wurden grundsätzlich zum Rückzahlungs- oder Erfüllungsbetrag angesetzt.

C. Sonstige Angaben

I. Durchschnittliche Anzahl der Arbeitnehmer

Im Jahresdurchschnitt beschäftigte die Gesellschaft neun Arbeitnehmer.

II. Mitglieder des Geschäftsführungsorgans

Im Geschäftsjahr 2023 waren Herr Christian Hölzenbein (Diplom-Ingenieur Maschinenbau), Herr Christopher Dröge (Diplom-Wirtschaftsingenieur) und Herr Steffen Schnürch (Diplom-Wirtschafts-
ingenieur) als Geschäftsführer bestellt. Sie sind von den Beschränkungen des § 181 BGB befreit.

D. Ergebnisverwendung

Die Geschäftsführung schlägt der Gesellschafterversammlung vor, den Bilanzgewinn in Höhe von Euro 442.561,26 auf neue Rechnung vorzutragen.
