A. Allgemeine Hinweise

Der vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG und des Gesellschaftsvertrags aufgestellt.

Es handelt sich um eine kleine Kapitalgesellschaft i.S.d. § 267.

Die Yourstep GmbH, Erkrath ist zum 04.04.2011 im Rahmen eines Share-Deals von der Coffenco International GmbH mit Sitz in Mainz an die S.C. Johnson Bama GmbH in Erkrath übergangen. Die Geschäftsanschrift ist seit dem 14.04.2011 Erkrath.

B. Bilanzierungs- und Bewertungsmethoden

Forderungen und liquide Mittel werden zu Nennwerten bilanziert.

C. Erläuterungen zur Bilanz

Im Bilanzverlust ist kein Verlustvortrag enthalten; im Übrigen verweisen wir auf den Vorschlag für die Verwendung des Bilanzverlustes.

Bei dem Gesamtbetrag der Forderungen in Höhe von EUR 114,50 handelt es sich um eine Forderung gegenüber dem Finanzamt.

D. Sonstige Angaben

Geschäftsführer im abgelaufenen Geschäftsjahr waren:
Herr Benno P. Duetz, General Manager (seit dem 08.12.2004)
Herr Frank G. Winter, General Manager (seit dem 20.04.2011)

Herr Duetz und Herr Winter üben ihre Tätigkeit als Geschäftsführer gemeinsam aus.

Gesellschafter der Gesellschaft ist die S.C. Johnson Bama GmbH, Erkrath.

Die Geschäftsführung schlägt vor, den Bilanzverlust 2011 in Höhe von EUR 10.399,14 auf neue Rechnung vorzutragen.
