Anhang

1. Allgemeines
Die VINTEGO GmbH hat ihren Sitz in Wilhelmshaven und ist in das Handelsregister beim Amtsgericht Oldenburg mit der Registernummer HRB 201234 eingetragen.
Der Jahresabschluss zum 31. Dezember 2023 wurde nach den Rechnungslegungsvorschriften des Deutschen Handelgesetzbuches aufgestellt.
Bei der Gesellschaft handelt es sich um eine kleine Kapitalgesellschaft im Sinne der § 267 Abs. 1 HGB. Sie ist gem. § 316 Abs. 1 HGB von einer Pflichtprüfung befreit.
Für den Jahresabschluss zum 31. Dezember 2023 sind die gesetzlichen Gliederungsschemata der §§ 266 und 275 HGB für große Kapitalgesellschaften angewandt worden. Die Vorjahreszahlen entsprechen ebenfalls diesen Gliederungsschemata.
Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gem. § 275 Abs. 2 HGB aufgestellt.

2. Bilanzierungs- und Bewertungsmethoden
Die Bilanzierungs- und Bewertungsmethoden wurden gegenüber dem Vorjahr unverändert beibehalten.
Größenabhängige Erleichterungen gem. § 288 Abs. 1 HGB werden angewendet.
Die Bilanzierung erfolgt gem. § 252 Abs. 1 Nr. 2 HGB nach going concern.
Anlagevermögen
Die immateriellen Vermögensgegenstände wurden ebenso wie das gesamte Sachanlagevermögen zu fortgeführten Anschaffungskosten bewertet.
Die Finanzanlagen wurden zu Anschaffungskosten bewertet.
Die planmäßigen Abschreibungen auf die abnutzbaren Gegenstände des Anlagevermögens wurden folgendermaßen vorgenommen:
Immaterielle Vermögensgegenstände unter Anwendung der linearen Abschreibungsmethode über einen Zeitraum von ein bis 3 Jahre.
Bauten auf fremden Grundstücken unter Zugrundelegung einer Gesamtnutzungsdauer von zehn Jahren.
Andere Anlagen, Betriebs- und Geschäftsausstattung unter Anwendung der linearen Abschreibungsmethoden nach betriebsgewöhnlichen Nutzungsdauer zwischen drei und elf Jahren.
Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von 800,00 € wurden als sogenannte geringwertige Wirtschaftsgüter im Jahr des Zugangs voll abgeschrieben.
Umlaufvermögen
Die fertigen Erzeugnisse und Waren wurden nach Bestandsaufnahme zu Anschaffungskosten bewertet.
Die Forderungen und sonstigen Vermögensgegenstände wurden unter Berücksichtigung aller erkennbaren Risiken bewertet. Die übrigen Forderungen und sonstigen Vermögensgegenstände wurden mit dem Nennwert bewertet.
Kassenbestand und Bankguthaben wurden zum Nennwert bzw.zum Nominalbetrag angesetzt.
Auf der Aktivseite sind als Rechnungsausgangsposten Ausgaben vor dem Abschlussstichtag ausgewiesen, soweit sie Aufwand für eine bestimmte Zeit nach diesem Tag darstellen.
Rückstellungen
Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten nach vernünftiger kaufmännischer Beurteilung gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.
Verbindlichkeiten
Die Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

3. Angaben und Erläuterungen zu einzelnen Posten der Bilanz und Gewinn- und Verlustrechnung
Brutto-Anlagenspiegel
Die Aufgliederung und Entwicklung der Anlagenwerte ist dem Anlagenspiegel zu entnehmen.
Geschäftsjahresabschreibung
Die Geschäftsjahresabschreibung je Posten der Bilanz ist dem Anlagenspiegel zu entnehmen.
Forderungen
Der Gesamtbetrag der Forderungen gegen Gesellschafter beträgt zum 31.12.2023 EUR 11.529,45 (zum 31.12.2022 EUR 10.636,96).
Der Gesamtbetrag der Forderungen mit Unternehmen, mit denen ein Beteiligungsverhältnis besteht, beträgt zum 31.12.2023 EUR 64.168,43 (zum 31.12.2022 EUR 61.081,92).
Rechnungsabgrenzungsposten
Die ausgewiesenen aktiven Rechnungsabgrenzungsposten betreffen im Wesentlichen vorausgezahlte Versicherungsbeiträge, Kfz-Steuern und Werbekosten.
Rückstellungen
Es wurden Rückstellungen für Jahresabschlusskosten und Personalkosten eingestellt.
Verbindlichkeiten
Im Geschäftsjahr 2023 waren keine Verbindlichkeiten, die durch Pfandrechte oder ähnliche Rechte gesichert sind, vorhanden.
Für die Verbindlichkeiten aus Lieferungen und Leistungen bestand der übliche Eigentumsvorbehalt.
Der Gesamtbetrag der Verbindlichkeiten mit einer Restlaufzeit von bis zu einem Jahr beträgt zum 31.12.2023 EUR 143.166,10 (zum 31.12.2022 EUR 124.168,89).
Der Gesamtbetrag der Verbindlichkeiten mit einer Restlaufzeit von mehr als fünf Jahren beträgt zum 31.12.2023 EUR 0,00 (zum 31.12.2022 EUR 0,00).
Der Gesamtbetrag der Verbindlichkeiten gegenüber Gesellschafter beträgt zum 31.12.2023 EUR 1.001,00 (zum 31.12.2022 EUR 1.001,00).

4. Sonstige Angaben
Durchschnittlich beschäftigte die Gesellschaft im Jahr 2023 ohne Geschäftsführer und Auszubildende 16 Mitarbeiter/innen.
Geschäftsführer im Geschäftsjahr war Herr Nils Borke.
