Liquidation

Liquidation refers to the orderly winding up of a company after its dissolution and is legally required for GmbH, AG, UG, or OHG. During the liquidation phase—often also called the liquidation process—the liquidator (usually the former managing directors) concludes all ongoing business, converts assets into liquid funds, settles all liabilities, and distributes any remaining surplus to the shareholders. Meanwhile, the company receives the addition 'i. L.' (in Liquidation) in the commercial register, allowing creditors, customers, and business partners to transparently track the dissolution. After the publication of the liquidation balance sheet, the statutory blocking year begins, during which third-party claims can be asserted. Only when the blocking year has expired, all claims are settled, and tax obligations are fulfilled, is the company finally deleted from the commercial register. If operational activities continue during liquidation, the initiation of insolvency proceedings is threatened.

Liquidation is retrievable in the commercial register as a status and history entry ('i. L.'). This information minimizes credit and supplier risks and improves compliance checks.
