Merger

Merger – also known as company merger – refers in German transformation law to the complete consolidation of two or more legal entities into a single company. In a merger by absorption, the transferring company, often a GmbH, AG, or UG, transfers all its assets, including liabilities, to the acquiring legal entity; alternatively, a new company is created through a merger by formation. The asset-transferring entity ceases to exist without liquidation, allowing for a straightforward universal succession. Key prerequisites include a notarized merger agreement, identical shareholder resolutions, and registration with the commercial register of both the acquiring and transferring legal entities. Creditors have a right to object under § 22 UmwG, serving creditor protection. Mergers can be implemented nationally or as cross-border mergers within the EU under the EU Merger Directive. The advantages of a merger include tax neutrality, synergy effects, and simplified corporate structure; risks arise from liability assumption and integration efforts. Typical commercial register entry: "X GmbH has transferred its assets as a whole to Y AG (merger by absorption). X GmbH has ceased to exist."
