Publish the full annual statement including the management report.

Sole traders and partnerships with a natural person as fully liable partner (such as GbR, OHG or a classic KG) are not required to disclose at all. Figures then only exist if they were published voluntarily.

Other typical reasons:

The company has fallen below the size limits and has only deposited its statements since, instead of publishing them.
The company was dissolved, merged, liquidated or is insolvent. After that, statements are usually no longer published.
The filing was missed or is late. The Federal Office of Justice then imposes fines, but publication often still happens years later.

Allgemeine Angaben

Es handelt sich um eine kleine Kapitalgesellschaft gem. § 267 HGB.

Die Gesellschaft wurde am 16.12.1998 errichtet. Die Eintragung im Handelsregister des Amtsgerichts Aachen erfolgte am 13.1.1999 unter HRB 7512. Auf Grund Sitzverlegung nach München wurde die Gesellschaft am 23.06.2010 beim Amtsgericht München unter HRB 186321 eingetragen.

Sitz der Gesellschaft ist München.

Gegenstand der Gesellschaft ist die Analyse, Beratung u. Entwicklung von Multimediaanwendungen/Präsentationen.

Das bisherige Geschäftsjahr lief vom 1. Juni bis 31. Mai. Zum 31. Dezember 2010 wurde auf das Kalenderjahr umgestellt. Der vorliegende Jahresabschluss umfasst den Zeitraum vom 1. Juni 2010 bis 31. Dezember 2010.

Grundsätze zu Bilanzierung und Bewertung

Erworbene immaterielle Vermögensgegenstände wurden zu Anschaffungskosten erfasst und linear abgeschrieben.

Die Sachanlagen wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Vorräte wurden zu Anschaffungs- bzw. Herstellungskosten angesetzt. Sofern die Tageswerte am Bilanzstichtag niedriger waren, wurden diese angesetzt.

Forderungen und Wertpapiere wurden unter Berücksichtigung aller erkennbaren Risiken bewertet.

Die Steuerrückstellungen beinhalten noch nicht bezahlte Steuern.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Verbindlichkeiten sind mit ihrem Rückzahlungsbetrag passiviert.

Nachdem es sich um ein Rumpfwirtschaftsjahr handelt, wurde auf die Angabe der Vorjahreswerte verzichtet.

Aufgliederung und Entwicklung der Anlagenwerte ist aus dem Anlagenspiegel zu entnehmen.

Die Geschäftsjahresabschreibung ist aus dem Anlagenspiegel ersichtlich.
